<br />Agreement #W7 -GJC-10 <br />City of Santa Ana <br /> <br />1 <br /> <br />from Equipment purchased, which are incurred by CONTRACTOR, if prior written approval has not been <br /> <br />2 <br /> <br />obtained from CONTRACT ADMINISTRATOR. <br /> <br />3 <br /> <br />(f) The purchase of computer-related and electronic equipment under $5,000, including, but not <br />limited to laptops, desktop computers, cell phones, PDAs, cameras, and DVD players, must be approved <br /> <br />4 <br /> <br />5 <br /> <br />by CONTRACT ADMINISTRATOR. <br />32. INDEMNIFICATION <br /> <br />6 <br /> <br />7 <br /> <br />CONTRACTOR agrees to indemnify, defend with counsel approved in writing by COUNTY, and hold <br /> <br />8 <br /> <br />COUNTY, the State of California, and the Orange County Workforce Investment Board, their elected and <br /> <br />9 <br /> <br />appointed officials, officers, employees, agents and those special districts and agencies which COUNTY's <br /> <br />10 <br /> <br />Board of Supervisors acts as the governing Board ("COUNTY INDEMNITEES") harmless from any claims, <br /> <br />11 <br /> <br />demands or liability of any kind or nature, including but not limited to personal injury or property damage, <br /> <br />12 <br /> <br />arising from or related to the services, products or other performance provided by CONTRACTOR <br /> <br />13 <br /> <br />14 <br /> <br />pursuant to this Agreement. If judgment is entered against CONTRACTOR and COUNTY by a court of <br /> <br />15 <br /> <br />competent jurisdiction because of the concurrent active negligence of COUNTY or COUNTY <br /> <br />16 <br /> <br />INDEMNITEES, CONTRACTOR and COUNTY agree that liability will be apportioned as determined by the <br /> <br />17 <br /> <br />court. <br /> <br />18 33. INSURANCE <br /> <br />19 <br /> <br />(a) Prior to the provision of services under this Agreement, the CONTRACTOR agrees to purchase <br /> <br />20 <br /> <br />all required insurance at CONTRACTOR's expense and to deposit with CONTRACT ADMINISTRATOR <br /> <br />21 <br /> <br />Certificates of Insurance, including all endorsements required herein, necessary to satisfy COUNTY that <br /> <br />22 <br /> <br />the insurance provisions of this Agreement have been complied with and to keep such insurance coverage <br /> <br />23 <br /> <br />and the certificates therefore on deposit with CONTRACT ADMINISTRATOR during the entire term of this <br /> <br />24 <br /> <br />Agreement. In addition, all subcontractors performing work on behalf of CONTRACTOR pursuant to this <br /> <br />25 <br /> <br />26 <br /> <br />WIA Cost Reimbursement Agreement ~ Green Jobs Corps <br /> <br />24 <br />
