<br />Agreement #W7-GJC-10 <br />City of Santa Ana <br /> <br />1 (r) The County of Orange Certificate of Insurance and the Special Endorsement for the County of <br /> <br />2 Orange can be utilized to verify compliance with the above-mentioned insurance requirements in place of <br /> <br />3 commercial insurance certificates and endorsements. <br /> <br />4 34. PATENT/COPYRIGHT MATERIALS/PROPRIETARY INFORMATION <br /> <br />5 CONTRACTOR agrees to grant the COUNTY, Federal and State governments a royalty-free, <br /> <br />6 nonexclusive and irrevocable license to publish, copy, translate or use, now and hereafter, all materials, <br /> <br />7 data, films, tapes, etc., developed under this Agreement including those covered by copyright. The <br /> <br />8 COUNTY, Federal, and State governments reserve the right to authorize others to use or reproduce such <br /> <br />9 materials. Further, the COUNTY, Federal, and State governments shall have access to any report, <br /> <br />10 preliminary findings or data assembled by CONTRACTOR under this Agreement and shall retain <br /> <br />11 ownership and patent rights to any discovery or invention under this Agreement, as provided in 29 CFR <br /> <br />12 97.34 and 97.36(i)(8&9). <br />13 35. INTELLECTUAL PROPERTY <br /> <br />14 (a) Federal Funding. In any Agreement funded in whole or in part by the federal government, <br /> <br />15 COUNTY may acquire and maintain the Intellectual Property rights, title, and ownership, which result <br /> <br />16 directly or indirectly from the Agreement, except as provided in 37 Code of Federal Regulations part <br /> <br />17 401.14. CONTRACTOR agrees to grant the COUNTY, Federal and State governments a royalty-free, <br /> <br />18 non-exclusive, irrevocable, paid-up license throughout the world to use, duplicate, or dispose of such <br /> <br />19 Intellectual Property throughout the world in any manner for governmental purposes and to have and <br /> <br />20 permit others to do so. <br /> <br />21 (b) Ownership. <br /> <br />22 (1) Except where COUNTY has agreed in a signed writing to accept a license, COUNTY shall <br /> <br />23 be and rernain, without additional compensation, the sole owner of any and all rights, title and interest in all <br /> <br />24 intellectual property, from the moment of creation, whether or not jointly conceived, that are made, <br /> <br />25 <br /> <br />26 <br /> <br />W1A Cost Reimbursement Agreement - Green Jobs Corps <br /> <br />28 <br />
