(2009 csBG) <br /> EXHIBIT D <br /> (Standard Agreement) <br /> ADDITIONAL PROVISIONS: <br /> 1. FEDERAL CERTIFICATION REGARDING DEBARMENT SUSPENSION AND RELATED <br /> MATTERS <br /> Subcontractor hereby certifies to the best of its knowledge that it or any of its officers: <br /> A. Are not presently debarred, suspended, proposed for debarment, declared ineligible, or voluntarily <br /> excluded from covered transactions by any Federal department or agency. <br /> B. Have not within athree-year period preceding this Agreement been convicted of or had a civil <br /> judgment rendered against them for commission of fraud or a criminal offense in connection with <br /> obtaining, attempting to obtain, or performing a public (federal, state, or local) transaction or <br /> contract under a public transaction; violation of Federal or State antitrust statutes or commission <br /> of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false <br /> statements, or receiving stolen property. <br /> C. Are not presently indicted for or otherwise criminally or civilly charged by a governmental entity <br /> (federal, state, or local) with commission of any of the offenses enumerated in paragraph 2 of this <br /> certification. <br /> D. Have not within athree-year period preceding this Agreement had one or more public (federal, <br /> state, or local) transactions terminated for cause or default. <br /> E. If any of the above conditions are true for the subcontractor or any of its officers, Subcontractor Shall <br /> describe such condition and include it as an attachment to this Exhibit D. Based on the <br /> description, CSD in its discretion may decline to execute this Agreement, or set further conditions <br /> of this Agreement. In the event any of the above conditions are true and not disclosed by <br /> Subcontractor, it shall be deemed a material breach of this Agreement, and CSD may terminate this <br /> Agreement for cause immediately pursuant to the termination provisions of State and federal law <br /> governing the CSBG program. <br /> <br /> 2. PROCUREMENT <br /> A. Contract Administration <br /> 1) Subcontractor shall administer this Agreement in accordance with all federal and state rules <br /> and regulations and Recovery Act provisions governing CSBG pertaining to procurement, <br /> including Office of Management and Budget (OMB) Circulars and amendments thereto, <br /> consistent with the general OMB compliance requirement in Exhibit B to this Agreement. <br /> Subcontractor shall establish, maintain, and follow written procurement procedures <br /> consistent with the procurement standards in OMB Circulars A-102 and A-110 and all <br /> additional provisions in this Agreement, including but not limited to a code of conduct for <br /> the award and administration of contracts and a procedure that provides, to the maximum <br /> extent practical, open and free competition. <br /> 2) Subcontractor shall not permit any organizational conflicts of interest or noncompetitive <br /> practices that may restrict or eliminate competition or otherwise restrain trade.
