rt+ <br />MEMOAANDUM <br />Jan • i-he-Counnil <br />.* <br />Subject: <br />In response to your memo of September 25, 1985, we are <br />providing you with excerpts from McQuillan, M nisi a1 Corpo- <br />rations, <br />or o - <br />rat ons, as it relates to record keeping. <br />Charter Section 702 requires you to keep an "accurate <br />journal of council roceedin s" and requires the recording <br />of votes in any final action, <br />As stated in McQuillan, 9 14*03F the record need not <br />reflect informal discussions or offhand conversations, <br />The purpose of the 12:00 to 3:00 p.m. session is t <br />engage in informal discussion where action is not to be taken. <br />If you are directed by the Council to simplyrecord the topics <br />being informally discussed, then you have fulfilled your <br />charter duties, I if, by chance, a Grote is taken during the <br />informal discussions, then your journal. should reflect the <br />vote on the issue, I such a record is not kept of the votes, <br />then the record would be insufficient as to that action and <br />it would probably not be binding, <br />Please advise if we may answer further questions. <br />9atyCoop ritt <br />C : ad g <br />cc: Mayor & Councilmembers <br />Robert Robb <br />
