* ProudCity <br /> services go beyond the standard subscription and may include <br /> integrating with new third-party applications, feature requests, or <br /> service design consulting, content services, training, coaching or <br /> other strategic consulting. Professional service work orders will be <br /> managed through the below process: <br /> • Santa Ana will make the request <br /> • ProudCity will provide a time estimate to be billed at$150 <br /> per hour <br /> • Santa Ana will approves the work order <br /> • ProudCity completes order and bills for time spent to not <br /> exceed $50,000 per fiscal year <br /> o Total not-to-exceed amount.The total amount to be expended under <br /> this Agreement shall not exceed $311,481. This sum is composed of <br /> (a)the base ProudCity Standard Subscription amount$113,481 and <br /> (b)the Intranet subscription activation amount$48,000 and <br /> (b) professional services in the amount$150,000 for professional <br /> services at the City's sole discretion. <br /> - This Agreement shall commence on July 1, 2025 and terminate on <br /> June 30, 2028, unless terminated earlier as provided for in this <br /> Agreement. <br /> 2, Responsibility of Visitors. <br /> ProudCity has not reviewed, and cannot review, all of the material, including computer <br /> software, posted to our Services, and cannot therefore be responsible for that <br /> material's content, use or effects.
