INSLi'All , ; E <br />{� <br />Wot�K Ali, C.[..r,,-2025-282 <br />�Jffl� IFSIIF„dl;r EfPI'" <br />- -Q� 02- <br />�IT1 .LEf�; --- <br />DATE: DEC 0 3 7025 <br />o-wpr (0) <br />TAimp, UP ,Z(Dz) ON-THE-JOB TRAINING AGREEMENT <br />UNDER THE WORKFORCE INNOVATION AND OPPORTUNITY ACT (WIOA) <br />WITH PRIME TECH CABINETS, INC. <br />THIS AGREEMENT ("Agreement") is made and entered into this 24TH day of November, 2025 <br />between the City of Santa Ana, a charter city and municipal corporation duly organized and <br />existing under the Constitution and laws of the State of California (hereinafter "CITY") and <br />Prime Tech Cabinets, Inc. (hereinafter "EMPLOYER"). CITY and EMPLOYER shall <br />collectively be referred to as "Parties" and singularly as "Party," <br />RECITALS <br />A. The Workforce Innovation and Opportunity Act of 2014 ("WIOA"), which took effect on <br />July 1, 2015, replaced the Workforce Investment Act ("WIA") programs with WIOA <br />programs, Under WIOA, the Governor, in conjunction with the California State Workforce <br />Development Board, designates the local workforce development investment areas. <br />B. On June 23, 2015, the City of Santa Ana was designated a Local Workforce Development <br />Area ("LWDA") by the Governor for the purposes of carrying out the provisions of the <br />WIOA. The WIOA states there shall be a local Workforce Development Board ("WDB") <br />established in each area that will set workforce policy for that local area. The WDB for the <br />CITY was established on May 17, 2016. <br />C. As a LWDA, CITY, via the WDB, is entitled to receive federal funds ("Subgrant"), from the <br />United States Department of Labor ("DOL") through the California Employment <br />Development Department ("EDD"), to establish programs to prepare eligible unskilled youth, <br />adults and dislocated workers ("Qualified Participants") for entry into the labor market, and <br />to provide job training to those individuals who face serious barriers in obtaining productive <br />employment ("WIOA Program"). <br />D. EMPLOYER is able and willing to provide on-the-job training eligible Qualified Participants <br />for entry into the labor market and is willing to operate within the WIOA Program <br />requirements pursuant to the WIOA and applicable federal, state and local laws ("OJT <br />Training"). <br />E. The purpose of this Agreement is to establish terms and conditions under which the CITY <br />may refer Qualified Participant to Employer to enable the Qualified Participant to take part in <br />OJT Training as defined under the WIOA. Pursuant to Section 3 of the WIOA (29 U.S.C. § <br />3102), "on-the-job training" means training by an employer that is provided to a paid <br />participant while engaged in productive work in a job that — (A) provides knowledge or skills <br />essential to the full and adequate performance of the job; (B) is made available through a <br />program that provides reimbursement to the employer of up to 50 percent of the wage rate of <br />the participant, except as provided in section 3174(c)(3)(H) of this title, for the extraordinary <br />costs of providing training and additional supervision related to the training; and (C) is <br />limited in duration as appropriate to the occupation for which the participant is being trained, <br />
