taking into account the content of training, the prior work experience of the participant, and <br />the service strategy of the participant, as appropriate. <br />NOW THEREFORE, for and in consideration of the respective and mutual covenants <br />and promises, and subject to all the terms and conditions hereof, the parties hereto do hereby <br />agree as follows: <br />SCOPE OF SERVICES <br />a. During the term of this Agreement, EMPLOYER shall provide employment and OJT <br />Training to the number of Qualified Participants in the occupation(s) described in the <br />OJT Training Plan - Exhibit A, attached hereto and incorporated herein by this <br />reference. The Qualified Participants shall be referred by the CITY's WORK Center. <br />Employment and training must significantly raise the Qualified Participants from <br />their positions in both the level of skill and the level of salary by the end of the <br />training period. EMPLOYER shall perform the tasks and obligations including all <br />labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately employ and train the Qualified Participants. <br />b. As a recipient of Federal Subgrant funds, EMPLOYER shall comply with all <br />-- - requirements of the WIOA, as applicable, and such Federal Regulations — Exhibit <br />B, attached hereto and incorporated herein by this reference. <br />EMPLOYER also agrees to comply with and execute EMPLOYER Assurances — <br />Exhibit C, attached hereto and incorporated herein by this reference. <br />d. EMPLOYER agrees to provide a drug -free work place and to execute a certification <br />as set forth in Exhibit D, attached hereto and incorporated herein by this reference. <br />e. To protect the public interest and ensure the integrity of Federal programs, CITY may <br />only conduct business with responsible persons and may not make any award or <br />permit any award to any party which is debarred or suspended or is otherwise <br />excluded from or ineligible for participation in Federal assistance programs under <br />Executive Order 12549, "Debarment and Suspension". See also 24 CFR 570.609. <br />EMPLOYER must review and sign Exhibit E "Debarment", which is attached hereto <br />and incorporated herein by this reference. <br />2. COMPENSATION <br />CITY agrees to pay/reimburse and EMPLOYER agrees to accept as total payment for its <br />services to the CITY under the WIOA Program, an amount not to exceed $8,580.00 in <br />accordance with the rates and charges detailed in the Cost Computation included in Exhibit A <br />and in accordance with the WIOA Program requirements. Reimbursement of EMPLOYER <br />under this Agreement shall be limited to the costs incurred during the basic work week, <br />excluding overtime and any paid holidays or sick leave. <br />
