6.9 Accounting Firm. Contractor shall, if requested by City and at City's expense, <br /> hire an independent certified public accounting firm selected by City to audit the financial <br /> statements required under this Agreement. Contractor shall train the accounting firm with respect <br /> to the use and application of Contractor's accounting software at the Facility, and Contractor shall <br /> supervise the work of the accounting firm. All fees and charges of the accounting firm shall be an <br /> expense of the Facility payable from the Operating Account. <br /> ARTICLE 7—MANAGEMENT—ADMINISTRATION -PERFORMANCE <br /> 7.1 GENERAL MANAGER. Contractor shall designate a General Manager, who <br /> shall coordinate the Services. This General Manager shall be available to City at all reasonable <br /> times during the Term of this Agreement. It is expressly understood that the experience, <br /> knowledge, capability, and reputation of the General Manager is a substantial inducement for City <br /> to enter into this Agreement. Therefore,the General Manager shall be responsible during the Term <br /> of this Agreement for directing all activities of Contractor and devoting sufficient time to <br /> personally supervise the provision of Services hereunder. <br /> 7.2 ADMINISTRATION. The following employees of City shall be authorized to <br /> take the following actions pursuant to this Agreement: <br /> (a) The Director of Parks, Recreation, and Community Services Agency shall be <br /> authorized to take any and all actions on behalf of City set forth herein, including, but not limited <br /> to Budget approval and termination of Services in accordance with the terms of Section $ of this <br /> Agreement (Termination Rights). <br /> (b) The City Manager or their designee is authorized to take those specific actions <br /> set forth herein and to review and approve all Services performed by Contractor under this <br /> Agreement. The City Manager or their designee shall be authorized to approve Extra Work,change <br /> prices or billing rates, or terminate Services under this Agreement. <br /> 7.3 PERFORMANCE <br /> 7.3.1 Standard of Services. Contractor and his entire staff shall provide all of <br /> its services in a professional and workmanlike manner and shall conduct themselves whenever on <br /> City's property such that they shall, at all times, be able to deal effectively and properly with the <br /> golfing public as managers of a public facility. All staff shall wear uniforms in a manner approved <br /> by City at all times with name tags. All staff shall complete training as prescribed by the City <br /> Manager or their designee upon hiring. The quality and range of the products and services offered <br /> must be approved by City. <br /> 7.3.2 Presence of General Manager. Contractor's General Manager is expected <br /> to be on site at the Facility during the days and hours normally expected of a working General <br /> Manager attending diligently to his duties and responsibilities personally. At such times as the <br /> General Manager is not on site, the General Manager shall specifically designate a Manager on <br /> Duty and shall provide, from time to time, City with the names of those employees qualified for <br /> -17- <br />
