<br /> <br /> INSURANCE ON FILE N-201 0-071 <br /> ,,6,,,< ,,AAY PROCEED <br /> UN, i, INSURANCE EXPIRES <br /> CLERK OF COUNCIL <br /> DAT& NON-EXCLUSIVE LICENSE AGREEMENT <br /> S - I - 1 <br /> C"CF--,A C Z\l THIS LICENSE AGREEMENT ("Agreement") is made and entered into this !6 <br /> day of h d~, 2010, by and between the City of Santa Ana, a charter city and municipal <br /> corporation, herein referred to as "Licensor", Downtown, Inc., a nnn - O~f {jam, herein <br /> referred to as "Licensee", and CUSA PCSTC, LLC dba Southern California Gray Line, a <br /> CUSA Company, herein referred to as "Operator". <br /> 1. ACKNOWLEDGEMENTS <br /> A. Licensee desires to provide limited bus transportation services, hereinafter referred <br /> to as the "downtown trolley loop", on a route through downtown Santa Ana to <br /> encourage passengers to visit shops and restaurants in the Downtown Santa Ana <br /> Business District. <br /> B. Licensor owns the property located on the southwest corner of Civic Center Drive <br /> and Ross Street, including the Santa Ana Main Library turn around loop on the west <br /> side of Ross Street, (Exhibit "A"), Santa Ana, California also identified as the Santa <br /> Ana Main Library turn around loop ["License Area 1"]. Licensor desires to license <br /> use of said Area 1 to Licensee. <br /> C. Licensor owns the property located at 1000 E. Santa Ana Boulevard, (Exhibit "B"), <br /> Santa Ana, California also identified as the Santa Ana Regional Transportation <br /> Center ["License Area 2"]. Licensor desires to license use of said Area 2 to <br /> Licensee. <br /> D. Licensor owns sign posts along the proposed downtown trolley loop route, which <br /> Licensee desires to utilize to post signs indicating the trolley route and schedule. <br /> E Licensee represents that it desires a License in order to utilize said sign posts and <br /> License Areas to provide passenger stops for its downtown trolley loop. <br /> 2. GRANT OF LICENSE <br /> a. Licensor grants to Licensee, for use by Operator, a personal, non-exclusive, <br /> revocable license ("License") to encroach upon License Areas 1 and 2 to pick-up and <br /> drop-off passengers in connection with the downtown trolley loop. <br /> b. Neither Licensee nor Operator may encroach upon the License Area for any <br /> other purpose or business, other than using it as defined in paragraph 2a. of this <br /> Agreement, without obtaining Licensor's prior written consent. <br /> C. Licensor further grants to Licensee, a personal, non-exclusive, revocable <br /> license to attach to Licensor's sign poles listed in Exhibit C, identification and <br /> informational signs, approved by Licensor for such installation. Licensee shall <br /> replace any worn signage at its own expense, upon the request of Licensor. <br /> d. Licensor will not be held responsible for loss of or damage to, any personal <br /> property left on the License Area, or improvements made by Licensee in the License <br /> Area. Licensee shall remove graffiti from the License Areas and/or its signs along <br /> 1 <br />
