CONFIDEN-TIALITY_ North American Security, Me. will not at any time or in any manner, either directly or indirectly, use for the personal benefit of North American Sectrity, Inc. (NAS), or divalge, di5CiO5e, or communicate in any manner tiny information that is proprietary to the City of Santa Ana. NAS will protect such information and treat it as strictly cortFdenlial. This provision shall continue to be c11ective cher termination ofthis Agreement. Upon termination ofthis Agreement. North American Security, Inc. will return to the City of Santa Ana all records, notes, docurnentation, and other items that were used, created, or controlled by NAS during, the term of this Agreement. 5. PAYMENTTOR SERVICES- -I'lte City of -Santa Ana will pay compensation to North American Security, Inc. for the security services rendered based on the rate of $J 9.40 per hour for unarmed security officers for patrolling their Main and Newhope libraries. 6. Holiday hours will be billed at time and one halffor all employees working on said holiday. We recognize the following holidays: Christmas Day, New Years Day. Thanksgiving, Easter_ Independence Lay, Memorial Day and Labor 13ay. Compensation to North American Security shall be payable within 30 clays after receipt of the security service invoice indicating completed services_ The invoice will be both electronically sent and mailed to 26 Civic Center Plaza, Santa Ana, California 92701 on the first working day of each month after services are rendered the preceding, month. 7_ EN -TIRE ACiREEMENf. This Agreement contains the entire agreement of the parties, and the only billable deviation would be compensation for overtime if requested by the City of Santa Ana. 8. SI VERABIL ITY. North American Security will provide the City OrSanta Ana ,with a 72 -hoar severability clause with no penalties to the City of Santa Ana if they choose to discontinue security services with us. No one in this industry docs this, but our philosophy to provide the best service possible to your City and if we are not the right fit for you_ we will not bound you to an annual contract. If any provision of this Agreement shall be held to be invalid or uncnforceablc for any reason, the remaining provisions shall continue to be valid and enforceable_ Ira count finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deerned to be written, construed, and enlbreed as so limited.
