INSURANCE; O HLI: A- 2010 -226 -01 <br />WORK WY PK0EEG <br />UNTIL INSURANr.E E)'P +,NE:: <br />CLERK OF C0U'4CIL <br />DATE 12 — <br />NON- EXCLUSIVE LICENSE AGREEMENT <br />THIS LICENSE AGREEMENT ( "Agreement ") is made and entered into this _5t � <br />day of ev, 2010, by and between the City of Santa Ana, a charter city and municipal <br />corporation, herein referred to as "Licensor', and Parking Concepts, Inc., a Delaware <br />corporation , herein referred to as "Licensee ". <br />e� <br />(�( 1. ACKNOWLEDGEMENTS <br />v © A. Licensee manages the downtown Santa Ana parking garages and surface lots <br />v pursuant to Operating Agreement A- 2007 -253, dated December 31, 2007, <br />B. Licensee desires to implement a valet parking program to service the downtown <br />shops and restaurants on weekend nights. <br />C. Licensor has determined that providing valet services may benefit downtown <br />business owners and has agreed to allow the utilization of designated public streets <br />and sidewalk to operate such a program on a trial basis. <br />2. GRANT OF LICENSE <br />a. Licensor grants to Licensee, a personal, non - exclusive, revocable license <br />( "License ") to utilize the following areas to provide valet parking services, as set forth <br />in PCI Proposal dated November 21, 2010, attached hereto as Exhibit A, and <br />incorporated by reference. <br />i, parking spaces on the east side of Broadway between 2nd and 3`d Streets; <br />ii. parking spaces on the west side of Sycamore, between 2nd and Std Street: <br />iii. a portion of the sidewalk adjacent to 207 N. Broadway, to locate a temporary <br />Valet stand. Said stand shall be located and operated in such a manner that <br />the sidewalk remains ADA compliant and the stand will not interfere with <br />pedestrian traffic along Broadway: <br />iv. a portion of the sidewalk adjacent to 200 W. 2nd Street, to locate a temporary <br />Valet stand. Said stand shall be located and operated in such a manner that <br />the sidewalk remains ADA compliant6 and the stand will not interfere with <br />pedestrian traffic along N. Sycamore Street; <br />V. additional valet stations may be added or deleted with the written approval of <br />the Deputy City Manager for Development Services (hereinafter "Executive <br />Director "). <br />vi. Valet Operation Plan must be reviewed and approved by the Community <br />Development Agency, Public Works Agency and Police Department. Any <br />changes to the plan will require preapproval. <br />vii. City staff will provide signage and posting of temporary No Parking signs from <br />4pm to 2am for metered stalls on the east side of Broadway Street and the <br />west side of Sycamore Street based on Exhibit B. <br />The above - described areas shall hereinafter be referred to as "License Area ". <br />
