MEMORANDUM OF UNDERSTANDING NO. C-9-0826 <br />EXHIBIT A <br />SECTION 2.0 PROJECT MANAGEMENT <br />2.1 GENERAL INFORMATION <br />This section specifies CONSULTANT's project management requirements <br />starting from the NTP through Final Acceptance of the TSS Design Finalization, <br />Implementation, and Support Services Phase. <br />CONSULTANT shall not distribute, disclose, or communicate the SOW <br />activities with the public, media, or other AUTHORITY and/or agencies' <br />contractors, and other similarly involved third parties without prior written <br />consent from AUTHORITY. Any such requests to CONSULTANT shall be <br />brought promptly to AUTHORITY's attention. <br />2. CONSULTANT shall cooperate with AUTHORITY, agencies, contractors, <br />and other similarly involved third parties, to the extent reasonably <br />necessary for the performance by such other consultants or contractors. <br />CONSULTANT shall not interfere or hinder the progress and work <br />conducted by other contractors and/or agencies' personnel. In case of <br />conflict or possible schedule and/or site related issues, CONSULTANT <br />shall bring such issues to AUTHORITY and/or agencies' immediate <br />attention for resolution. <br />3. CONSULTANT shall not communicate the SOW activities with previous <br />consultant and his sub consultants without prior written consent from <br />AUTHORITY. Any such requests to CONSULTANT shall be brought <br />promptly to AUTHORITY's attention. <br />2.2 PROJECT MANAGEMENT REQUIREMENTS <br />1. CONSULTANT shall have key staff for Design Finalization, <br />Implementation, and Support Services Phases located within the Orange <br />County area for the duration of the CONTRACT. Orange County area is <br />defined as Orange County and locations within 10 miles of the Orange <br />County border. <br />2. For the duration of the CONTRACT, CONSULTANT shall be involved in <br />and responsible for the entire management of the TSS design finalization, <br />implementation, and support services including the purchasing and <br />furnishing of necessary equipment and interface equipment, installation, <br />inspection, testing, and commissioning of the work provided under this <br />SOW. <br />3. CONSULTANT shall assign a qualified, experienced, and licensed <br />certified California Traffic Engineer with a minimum of 10 years of TSS <br />experience and familiarity with agencies in Orange County as the Project <br />Scope of Work 23 05/07/1 O <br />
