<br />6. Permissions.
<br />The -University- reta ins -a li -rights -under copyright- law -to -a I I- el ements- or ---
<br />components of this course including the right: to make copies of course
<br />materials; to create derivative works; and to perform or instruct in versions of
<br />this course. Thus Sponsor may not videotape, audiotape or digitally capture any
<br />element of the course or curriculum materials without the express written
<br />consent of the University.

<br />7a. The University shall indemnify, and hold the Sponsor, its officers, employees,
<br />or agents harmless from and against any and all liability, loss, or expense,
<br />including reasonable attorneys' fees, or claims for injury or damages arising out ,
<br />of the performance of this Agreement but only in proportion to and to the extent
<br />that such liability, loss, expense, attorneys' fees, or claims for injury or damages
<br />are caused by or result from the negligent or intentional acts or omissions of the
<br />University, its officers, agents, or employees.
<br />7b..The Sponsorshall indemnify, and hold the University, its officers, employees,
<br />or agents harmless from and against any and all liability, loss, or expense,
<br />including reasonable attorneys' fees, or claims for injury or damages arising out
<br />of the performance of this Agreement, but only in proportion to and to the extent
<br />that such liability, loss, expense, attomeys' fees, or claims for injury or damages
<br />are caused by or result from the negligent.or intentional acts or omissions of the
<br />Sponsor, its officers, agents, or employees.
<br />8. Insurance.
<br />The Sponsor shall keep in full force -and effect. during.. the term of this
<br />Agreement, at the Requestor's-sole expense, insurance as follows ("Insurance"): _ ..
<br />8a. Commercial- Form General Liability Insurance with minimum limits as follows:
<br />(1) Each Occurrence $1,000,000
<br />(2) Products/Completed Operations Aggregate $2,000,000
<br />(3) Personal and Advertising Injury $1,000,000
<br />(4) General Aggregate $2,000,000
<br />8b. Business Automobile Liability: For Owned, scheduled, non -owned, or hired
<br />automobiles -with a combined single limit of -1000;000 per occurrence.
