• If the Insurance is written on a claim made form, it shall continue for three <br />years following termination of this Agreement. <br />• The Insurance shall provide for a retroactive date of placement prior to or <br />coinciding.with the effective date of this Agreement. <br />• University shall be named as an additional insured on the General Liability and <br />Business Automobile insurance, in proportion to and to the extent of the <br />negligent acts or omissions of the Requestor or the Requestor's officers, <br />employees and agents. <br />• Within thirty (30) days of the execution of this Agreement, Sponsor shall <br />furnish University with a CertificateofInsurance evidencing compliance with the <br />insurance provisions of this Agreement and requiring 30 days advance written <br />notice to the University of any modification, change, or cancellation with respect <br />to the Insurance. <br />• The Insurance shall be primary with respect to The Regents of the University of <br />California, its officers, agents, and employees, and any self-insurance <br />maintained by the University shall be in excess of and non-contributory to the <br />Insurance. <br />9. Trademark/ University Name. The University's name and trademarks are <br />protected by California law and may not be used without prior written approval of the <br />Regents of the University of California except to indicate identification or, location. <br />10. Disputes. In the event of a dispute, this Agreement will be governed by California <br />law and the parties agree to non-binding arbitration in Alameda County under the rules <br />of the American Arbitration Association. <br />11. Modification. This Agreement may be modified only by- mutual written agreement <br />parties.- - <br />of both-- - ---- -_ _ _.... <br />_..__ _ ..... _. <br />-12: Course cancellation or rescheduling: <br />12a. The University may upon five (5) business days written notice to the <br />Sponsor cancel or reschedule the Course for any reason .without penalty. <br />12b. The Sponsor may cancel the Course upon written notice to the University up <br />until fifteen (15) days before the date of delivery named in Paragraph 1b without <br />- <br />....penalty.
