COOPERATIVE AGREEMENT NO. C-1-2447 <br />I C. AUTHORITY shall remit to CITY within 30 days of receipt of an acceptable invoice, in <br />2 accordance with ARTICLE 5 REQUEST FOR REIMBURSEMENT and EXHIBIT A "FUNDING <br />3 PLAN", reimbursement for development activities and preliminary engineering up to ninety (90%) <br />4 percent of eligible M2 and Section 5307 PROJECT costs. Such PROJECT costs shall not exceed the <br />s sum of Four Million, Nine Hundred Eighty Seven Thousand and Five Hundred Thirty Dollars <br />6 ($4,987,530) and are subject to authorization through the AUTHORITY's annual budget process. <br />7 AUTHORITY will not be obligated to pay for any amount beyond what has been identified in this Article. <br />s D. AUTHORITY shall process any required Federal Transportation Improvement Program <br />9 amendments and FTA grant agreements. <br />10 E. AUTHORITY shall review final drafts of, and provide input to, PROJECT documents that <br />11 CITY prepares, or causes to be prepared, to complete PROJECT and shall provide comments within 10 <br />12 working days of receipt of such documents. <br />13 F. To indemnify, defend and hold harmless CITY, its officers, directors, employees and <br />14 agents from and against any and all claims (including attorney's fees and reasonable expenses for <br />is litigation or settlement) for any loss or damages, bodily injuries, including death, worker's compensation <br />16 subrogation claims, damage to or loss of use of property caused by the negligent acts, omissions or <br />17 willful misconduct by AUTHORITY, its officers, directors, employees or agents in connection with or <br />is arising out of the performance of this Agreement. <br />19 ARTICLE 3. RESPONSIBILITIES OF CITY <br />20 CITY agrees to the following responsibilities for PROJECT: <br />21 A. To act as the lead agency for development activities and Preliminary Engineering (PE) <br />22 for the PROJECT. <br />23 B. To be responsible for completing all PROJECT development activities as defined by <br />24 FTA in EXHIBIT F "NEW STARTS PROJECT PLANNING AND DEVELOPMENT CHECKLIST OF <br />25 PROJECT SPONSOR SUBMITTALS TO FTA TO ENTER PRELIMINARY ENGINEERING (PE)" or <br />26 EXHIBIT G "SMALL STARTS/VERY SMALL STARTS REPORTING CHECKLIST", attached hereto <br />Page 4 of 13 <br />25K-6
