COOPERATIVE AGREEMENT NO. C-9-2447 <br />i PLAN", reimbursement for development activities and preliminary engineering up to ninety (90%) <br />2 percent of eligible M2 and Section 5307 PROJECT costs. Such PROJECT costs shall not exceed the <br />3 sum of Four Million, Nine Hundred Eighty Seven Thousand and Five Hundred Thirty Dollars <br />4 ($4,987,530) and are subject to authorization through the AUTHORITY's annual budget process. <br />s AUTHORITY will not be obligated to pay for any amount beyond what has been identified in this Article. <br />6 D. AUTHORITY shall process any required Federal Transportation Improvement Program <br />7 amendments and FTA grant agreements. <br />s E. AUTHORITY shall review final drafts of, and provide input to, PROJECT documents that <br />9 CITY prepares, or causes to be prepared, to complete PROJECT and shall provide comments within 10 <br />10 working days of receipt of such documents. <br />ii F. To indemnify, defend and hold harmless CITY, its officers, directors, employees and <br />12 agents from and against any and all claims (including attorney's fees and reasonable expenses for <br />13 litigation or settlement) for any loss or damages, bodily injuries, including death, worker's compensation <br />14 subrogation claims, damage to or loss of use of property caused by the negligent acts, omissions or <br />is willful misconduct by AUTHORITY, its officers, directors, employees or agents in connection with or <br />16 arising out of the performance of this Agreement. <br />17 ARTICLE 3, RESPONSIBILITIES OF CITY <br />is CITY agrees to the following responsibilities for PROJECT: <br />19 A. To act as the lead agency for development activities and Preliminary Engineering (PE) <br />20 for the PROJECT. <br />21 B. To be responsible for completing all PROJECT development activities as defined by <br />22 FTA in EXHIBIT F "NEW STARTS PROJECT PLANNING AND DEVELOPMENT CHECKLIST OF <br />23 PROJECT SPONSOR SUBMITTALS TO FTA TO ENTER PRELIMINARY ENGINEERING (PE)" or <br />24 EXHIBIT G "SMALL STARTSIVERY SMALL STARTS REPORTING CHECKLIST", attached hereto <br />25 and incorporated by reference. Preliminary Engineering/Project Development checklist requirements <br />26 vary depending upon if the project is eligible for New or Small Starts.
