NS10HAN( - JN <br />N6RK MAY 'K EEC <br />1AT' NN " An Ply! <br />r <br />CLERK -F' <br />SECOND AMENDMENT TO AGREEMENT <br />ci THIS SECOND AMENDMENT TO AGREEMENT is entered into on May 9, 2011 by <br />and between WILLDAN HOMELAND SOLUTIONS, a California corporation <br />c-? (hereinafter "Consultant"), and the City of Santa Ana, a charter city and municipal <br />corporation organized and existing under the Constitution and laws of the State of <br />J California (hereinafter "City"). <br />RECITALS: <br />A. The parties entered into Agreement # A-2010-166, dated September 8, 2010, <br />(hereinafter "said Agreement") by which Consultant has provided Homeland Security <br />training and exercise programs. <br />B. The parties entered into First Amendment to Agreement #2010-166-01, dated <br />December 13, 2010, to amend the scope of services to for Consultant's services. <br />C. In accordance with the terms and conditions of said Agreement, the parties wish to amend <br />the Scope of Work to provide additional services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this Second <br />Amendment to Agreement, the parties agree as follows: <br />1. Section 1, SCOPE OF SERVICES, shall be amended by amending Exhibit A, as set forth <br />in Exhibit A-1, attached hereto and incorporated by this reference. <br />IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to <br />Agreement on the date and year first written above. <br />ATTEST: <br />MARIA D.
