DISPOSITION AND DEVELOPMENT AGREEMENT <br />This Agreement is entered into on this 17th day of February, 2009, by and between the <br />COMMUNITY REDEVELOPMENT AGENCY OF THE CITY OF SANTA ANA ("Agency") <br />and THE CHARLES BOWERS MUSEUM CORPORATION, a California non-profit public <br />benefit corporation ("Developer"). The Agency and the Developer agree as follows: <br />ARTICLE 1 - SUBJECT OF AGREEMENT <br />Section l O1. Purpose of the Agreement <br />The purpose of this Agreement is to effectuate the Redevelopment Plan specified in Section <br />102 by providing for the rehabilitation and redevelopment of a portion of the Project Area. The <br />rehabilitation and redevelopment by the Developer pursuant to this Agreement, and the fulfillment <br />generally of the Agreement, are in the vital and best interest of the City of Santa Ana (the "City") <br />and the health, safety, morals, and welfare of its residents, and in accord with the public purposes <br />and provisions of applicable laws and requirements. <br />Section 102. The Redevelopment Plan <br />The Redevelopment Plan for the Redevelopment Project was approved and adopted by the <br />City Council of the City of Santa Ana by Ordinance No. NS-1 173 on July 2, 1973 and amended by <br />Ordinance No. NS-1258 on June 2, 1975, and thereafter amended including the amendment by the <br />City Council Ordinance No. NS-2663 on or about September 20, 2004, and is hereinafter referred to <br />as the "Redevelopment Plan." This Agreement is subject to the provisions of the Redevelopment <br />Plan which are incorporated herein by this reference and made a part hereof as though fully set forth <br />herein. Any amendment to the Redevelopment Plan which changes the restrictions or controls that <br />apply to the parcels to be developed by the Developer as defined hereafter or which otherwise affect <br />the development and operation of the Developer, shall require the written consent of the Developer. <br />Any other amendments of the Redevelopment Plan applying to other property in the Project Area <br />shall not require the consent of the Developer, or its successors or assignees. <br />Section 103. The Project Area <br />The "Project Area" is located in the City of Santa Ana, California, and is more specifically <br />described in the Redevelopment Plan. <br />3-7 <br />
