(b) Snitial Term. <br />(ii) The initial term ( " =nitial Term ") of this Lease <br />shall be for ten (10) years, commencing on the Commencement Date, <br />and ending on the date ten (10) years thereafter, unless sooner <br />terminated as hereinafter provided_ <br />(c) Extensions <br />The parties may, by the mutual agreement in writing of their <br />representatives specified in section 20 of this Agreement, extend <br />the term of this Lease a maximum of three (3) times. Each such <br />extension shall be for a period of five (5) years. This Lease may <br />be extended beyond 25 years by the written agreement of the <br />governing bodies of Landlord and Tenant. <br />(d) Earlier termination <br />Notwithstanding the foregding, this Lease may be terminated: <br />(i) at any time by the written agreement of the govern- <br />ing bodies of Landlord and Tenant; or <br />(ii) by Landlord, at any time following the expiration <br />of the first six lease years (as defined in Section <br />16 of this Agreement), provided such termination <br />shall only be effective upon the first July 1 <br />occuring at least one (1) year after written notice <br />of termination is served upon Tenant by Landlord. <br />5. DELI LEASE AREA <br />(a) Except as provided in paragraph (c) below, Landlord, as <br />of the Commencement Date, assigns its rights (including, but not <br />limited to, the right to receive rent) and delegates its responsi- <br />bilities as the landlord under the Deli Lease to Tenant. Lil�ewise <br />as of the Commencement Date, Tenant accepts such assignment and <br />assumes such responsibilities and further agrees to defend, <br />indemnify and hold harmless Landlord from and against any claim or <br />suit for money or specific performance brought by the lessee under <br />the Deli Lease arising out of such Deli Lease with regard to acts <br />or omissions occurring or alleged to occur after the Commencement <br />Date, excluding any claim or suit arising out of Landlord's <br />obligations under paragraph (c) below. <br />(b) Landlord agrees not to extend the term of the- Deli Lease. <br />Landlord further agrees to advise the lessee under the Deli Lease <br />of the assignment, delegation and assumption specified in subsec- <br />tion (a) of this section and to direct that rent due under such <br />lease for any rental period occurring after the Commencement Date <br />shall be paid to Tenant in accordance with such assignment. <br />5 <br />
