DATE: S gO-U c <br />WORK MAY PROCEED 9 q _ 0? <br />CLERK OF COUNCIL <br />DATE: CAS <br />TEMPORARY PERSONNEL SERVICES AGREEMENT <br />r <br />THIS AGREEMENT, entered into this 1 day of August, 1999 by and between the <br />City of Santa Ana, a California charter city and municipal corporation duly organized and existing <br />under the Constitution and laws of the State of California ("City") and Manpower, ("Contractor"). <br />A. WHEREAS, City desires to employ Contractor to assist the City Attorney in the <br />provision of paralegal services to the City; and <br />WHEREFORE, for and in consideration of their respective and mutual covenants and <br />agreements hereinafter contained, and subject to all the terms and conditions hereof, the parties <br />hereto do hereby agree as follows: <br />EMPLOYMENT OF CONTRACTOR. <br />City hereby agrees to and does employ Contractor, for the compensation hereinafter <br />specified, to assist the City Attorney of CITY, when and as requested by said City Attorney to do <br />so. CONTRACTOR accepts said employment and agrees to perform, in timely and efficient <br />manner. <br />2. PAYMENT FOR SERVICES RENDERED. <br />A. FEES <br />City agrees to compensate Contractor, and Contractor agree to accept from City, as and for <br />payment in full for all of said services in regard to each such action, compensation at a maximum <br />rate of $13.50 per hour. <br />B. MAXIMUM FEES AND COSTS <br />The parties agree and acknowledge that Contractor Fees and Costs under this Agreement <br />shall not exceed TEN THOUSAND DOLLARS AND 00 CENTS ($10,000.00). <br />3. METHOD OF PAYMENT <br />Contractor shall, within ten (10) days after the first of each calendar month, submit a <br />statement containing a breakdown of services performed during the preceding month, specifying the <br />services performed, dates and number of hours, itemization of travel, subsistence and other <br />expenses related thereto. <br />4. CONTROL OF LEGAL MATTERS. <br />Contractor agree that each and every matter or proceeding in which they undertake to assist <br />the City Attorney, as aforesaid, shall be and remain under, and subject to the control and direction of <br />said City Attorney at all stages, and that they shall at all times keep the City Attorney informed of <br />all matters pertaining thereto. Contractor further agree, that if and when their employment <br />hereunder is terminated by City, as hereinafter specified, they shall return to City Attorney any and <br />all files then in their possession concerning each and every matter or proceeding in which they <br />represented the City pursuant to this Agreement.
