(Page 56 of 61) <br />86-619881 <br />Grant Of •Wg 9Mt Grantor hereby irrevocably grants <br />and conveys to Grantee a Conservation Easement in perpetuity in <br />and to the exterior facade of the Building which consists of all <br />exterior surfaces of the Building, including the walls, and <br />decorative features for the purpose of preserving the facade of <br />the Building. <br />This Easement is granted for valuable consideration, <br />receipt of which is herby acknowledged. <br />Grantorls Covenants. In furtherance of the <br />Conservation Easement herein granted, Grantor 4ereby covenants <br />and agrees as follows: <br />1. The Grantor agrees to abide by the guidelines set <br />forth in the Secretary of Interiors Standards for <br />Rehabilitation, and to retain the architectural and historical <br />character of the Building. <br />. Grantee's approval for any changes to the exterior <br />facade of the Building shall be requested by written notice from <br />Grantor to Grintee specifying in reasonable detail the proposed <br />action or actons and the expected commencement date hereof, <br />which notice shall be at least thirty (30) days in advance of <br />the date specified for commencement of the proposed action. If <br />no notice of disapproval is given by the Grantee within the said <br />30-day period, then Grantee shall be deemed to have approved the <br />action or actions specified in said notice, As a condition to <br />the Grantee granting this approval, Grantor agrees that the <br />Grantee may specify materials, methods, cleaning substances to <br />be used in the work, may require the Grantor to obtain Grantee's <br />approval of the final plans and specifications for the work and <br />all change orders thereto and may impose such other reasonable <br />conditions on such action or actions as Grantee deems necessary <br />or desirable. Grantor agrees that the review and approval by <br />Grantee of the proposed action and the plans and specifications <br />are solely for the Grantees benefit. Grantee shall have no <br />duty to warn Grantor, nor shall Grantee be deemed to have made a <br />representation or warranty to Grantor with respect to the <br />safety, adequacy, correctness, efficiency or compliance with law <br />of the plans and specifications, the proposed action or any <br />manner of respect thereto. <br />4.
