§ 104 The Property. The Property is that portion of the Project Area located at 201-215 <br />North Broadway and generally bounded on the south by Second Street, on the west by Broadway <br />Street, and is more fully described in "Legal Description" of the Property attached hereto as <br />Attachment No. 1 and incorporated herein by reference. The words "Property" and "Site" shall be <br />used interchangeably. The Santora Building (`Building') exists on the Property. <br />.§ 105 Parties to this Agreement <br />A. The Agency. The Agency is a public body, corporate and politic, exercising <br />governmental functions and powers, and organized and existing under the Community <br />Redevelopment Law of the State of California (Health and Safety Code Section 33000 et seg.) <br />The principal office of the Agency is located at 20 Civic Center Plaza, Santa Ana, <br />California, 92702. <br />"Agency," as used in this Agreement, includes the Community Redevelopment <br />Agency of the City of Santa Ana and any assignee of or successor to its rights, powers and <br />responsibilities. <br />B. 'Me Developer. Developer is Santora Partners, LLC, a Delaware Limited <br />Liability Company. The principal address of the Developer is 1200 North Main Street, Suite 900, <br />Santa Ana, CA 92702. Developer acknowledges and warrants that it has legal or equitable fee <br />ownership of the Property. Developer hereby designates Michael Harrah, the Managing Member, <br />as its manager for the Project. <br />§200 THE PROJECT <br />§201 Improvement of the Property <br />A. Scope of Development. Developer agrees to rehabilitate the Property for the <br />purposes of maintaining a quality restaurant.and art related uses therein. Said restaurant shall be <br />operated in accordance with the standards specified in "Restaurant Operational Standards," <br />Attachment No. 2, attached hereto and incorporated hereinYay reference. Developer currently <br />proposes that the restaurant portion of the building will be leased to the Memphis General <br />Partnership ("Memphis"). The Executive Director of the Agency shall not unreasonably withhold <br />approval of amendments to the scope of development in order to facilitate a restaurant and art <br />related uses in the Building of similar character and quality. <br />B. Improvement Plans. Developer shall prepare architectural, site and construction <br />plans, including a schedule for completion (the "Improvement Plans") and submit them to the <br />Agency's Executive Director.
