SECTION 12. RIGHTS <br />(a) Voting. <br />(i) The voting rights of each Regular Member are: <br />Group 1 shall be entitled to ten (10) votes when voting on any corporation matter. <br />Group 2 shall be entitled to one (1) vote when voting on any corporation matter. <br />Group 3 shall be entitled to two (2) votes when voting on any corporation matter. <br />(ii) The voting rights of each Associate Members are: <br />Associate Members shall be entitled to participate in the discussions of the membership, but <br />shall not be entitled to vote. <br />(b) Property Rights. No member, or the property he or she represents, shall have any right or <br />interest in any property or assets of Downtown Incorporated. <br />(c) Right to Inspect. Each and every Regular Member shall have the following inspection rights, <br />for a purpose reasonably related to such person's interest as a member to: <br />(i) Inspect and copy the record of all members' names, addresses, and voting rights, at <br />reasonable times, upon five (5) business days' prior written demand on Downtown <br />Incorporated, which demand shall state the purpose for which the inspection rights are <br />requested. <br />(ii) Obtain from the Secretary of Downtown Incorporated, upon written demand and <br />payment of a reasonable charge, a list of the names, addresses, and voting rights of <br />those members entitled to vote for the election of Directors as of the most recent record <br />date for which the list has been compiled, or as of the date specified by the member <br />subsequent to the date of demand. The demand shall state the purpose for which the <br />list is requested. The membership list shall be made available within ten (10) business <br />days after the demand is received. <br />(iii) Inspect at any reasonable time the books, records, or minutes of proceedings of the <br />members or of the Board or committees of the Board, upon written demand on <br />Downtown Incorporated by the member, for a purpose reasonably related to such <br />person's interests as a member. <br />(iv) Downtown Incorporated Membership materials may only be used in connection with <br />business of downtown Incorporated as set forth in Article I. Section 3. Specific Purpose <br />of these bylaws. The unauthorized use of downtown Incorporated Membership <br />materials is cause for suspension or termination of membership. <br />6 <br />19D-18
