vC' ;N, RLL <br />s <br />:lATE: <br />ILI <br />A-2011-252 <br />ENTERTAINMENT MANAGEMENT <br />SERVICES AGREEMENT <br />This Agreement is entered into on i'e6- 2 `1 2� t 'may and between the City of Santa Ana, a charter <br />City and municipal corporation duly organized and existing under the Constitution and laws of the state <br />of California, ( "City") and MX Live Marketing Group, dba MX Live Entertainment, a California <br />Corporation (hereinafter referred to as "Event Producer"). <br />1� N <br />t i C ._I <br />L <br />[L u.. <br />CC <br />... _. <br />RECITALS <br />A. The City desired to retain a firm having special skill and knowledge in the field of promotion of <br />special events in order to plan and produce the 2012 and 2013 Cinco de Mayo and Fiestas Patrias <br />Festivals for the City. <br />B. Event Producer represents that it has produced similar Events in previous years and that it is able <br />and willing to provide such services to the City. <br />C. In undertaking the performance of this Agreement, Event Producer represents that it is <br />knowledgeable in its field and that any services performed by Event Producer under this <br />Agreement will be performed in compliance with such standards as may reasonably be expected <br />from a professional Event Producer in the field. <br />l . SCOPE OF WORK <br />Event Producer shall provide all necessary equipment, resources and manpower to develop, <br />produce, and manage the Cinco de Mayo Festival ("Event I") and the Fiestas Patrias Celebration ("Event <br />11"), in the downtown area of the City of Santa Ana, as set forth below and in compliance with the <br />Operational Conditions attached hereto as Exhibit A, and incorporated by this reference. The Scope of <br />Work shall be as set forth below, together with Exhibit A. Unless specifically referenced as Event I or <br />Event II, the terms and conditions apply to both Events. <br />a) PRE -EVENT MEETING. Event Producer shall attend a minimum of one pre -event meeting to <br />be scheduled by City no later than 60 days prior to each Event to include all city and county <br />agency representatives that regulate and/or provide services before, during, and after Events. <br />Upon completion of such meeting a Pre -Event Letter of Agreement defining specific details <br />approved by the City, including all items set forth below shall be provided by City no later than <br />two weeks prior to each Event. Event Producer shall abide by all terms and conditions set forth <br />in the Pre -Event Letter of Agreement in addition to those set forth herein and in the Operational <br />Conditions attached hereto as Exhibit A. <br />b) EVENT HOURS. The Events will each be scheduled over a two day weekend period for <br />approximately 10 to 12 hours each day plus set up and tear down time scheduled before and <br />after each Event. The final schedule shall be mutually agreed between City and Event Producer. <br />i) Cinco de Mayo — will be scheduled on or around May 5, 2012 and 2013. <br />ii) Fiestas Patrias — will be scheduled on or around September 16, 2012 and 2013. <br />c) TRAFFIC CONTROL. <br />i) Street closures shall commence no earlier than the Thursday prior to each Event and will <br />be staggered to minimize impact to drivers and residents. <br />ii) Street reopening to vehicular traffic on Main and Broadway must be complete no later than <br />6:00 am the Monday following each Event. <br />
