N-2004-01 S <br />INSURANCE NOT ON FILE <br />WORK MAY NOT PROCEED <br />CLERK OF COUNCIL cS <br />DATE: -7 ` d `¢ TECHNOLOGY UNLIMITED, INC. <br />EQUIPMENT MAINTENANCE AGREEMENT <br />e_: r—M S Agreement No. 1201 <br />Cc• C&Ado Ox, This equipment maintenance agreement ("Agreement') is entered into by and between TECHNOLOGY UNLIMITED, INC., at <br />318 Mira Loma Ave. Glendale, CA 91204 ('TUI") and the City of Santa Ana, a municipal corporation and charter city duly organized and <br />existing under the Constitution and laws of the State of California, 20 Civic Center Plaza, Santa Ana, CA 92701 ("COSA"). This <br />Agreement is separate and not part of the Master Agreement with Technology Unlimited, Inc. <br />In consideration of their mutual and respective promises, the parties hereto agree as follows: <br />Article I. The preventive maintenance will include two (2) <br />scheduled calls per year. <br />Article II. INDEPENDENT CONTRACTOR <br />It is understood and mutually agreed upon by the parties that Technology Unlimited Incorporated shall perform the services <br />pursuant to this contract as an Independent Contractor and not as an agent or employee of the City of Santa Ana. <br />Article III. CONTRACT TERM AND SERVICE HOURS <br />A. The term of this Agreement shall be twelve months (12). Upon expiration of said term, this Agreement shall be automatically <br />renewed, unless earlier terminated by either party as provided herein. <br />
