SECTION 8. DUTIES OF TREASURER <br />Subject to the provisions of these Bylaws the Treasurer shall: <br />(a) Have charge and custody of, and be responsible for, all funds and securities of Downtown <br />Incorporated. Deposit all such funds in the name of Downtown Incorporated in such banks, <br />trust companies, or other depositories as shall be selected by the Board of Directors. <br />(b) Receive, and give receipt for, monies due and payable to Downtown Incorporated from any <br />source whatsoever. <br />(c) Disburse or cause to be disbursed, the funds of Downtown Incorporated as may be directed by <br />the Board of Directors, taking proper vouchers for such disbursements. <br />(d) Keep and maintain adequate and correct accounts of Downtown Incorporated's properties and <br />business transactions, including accounts of its assets, liabilities, receipts, disbursements, <br />gains and losses. <br />(e) Exhibit at all reasonable times the books of account and financial records to any Director of <br />Downtown Incorporated, or to his or her agent or attorney, on request therefore. <br />(f) Render to the President and Directors, whenever requested, an account of any or all of his/her <br />transactions as Treasurer and of the financial condition of Downtown Incorporated. <br />(g) Prepare, or cause to be prepared, and certify, or cause to be certified, the financial statements <br />to be included in any required reports. <br />(h) In general, perform all duties incident to the office of Treasurer and such other duties as may <br />be required by law, by the Articles of Incorporation of the Corporation, or by these Bylaws, or <br />which may be assigned to him or her from time to time by the Board of Directors. <br />SECTION 9. DUTIES OF ASSISTANT OFFICERS <br />Any assistant officers appointed by the Board of Directors shall exercise such powers and perform <br />such duties as shall be assigned from time to time by the President or by the officer which he/she has <br />been assigned to assist <br />A Parliamentarian shall be appointed by the President to assist the Board in.-Advising board members <br />and presiding officers on parliamentary procedure. Responsible for making sure that the organization <br />board follows the correct procedures based on the Robert's Rules of Order process in board <br />meetings, <br />Other duties as assigned: Assist the board president in preparing for a meeting. Count ballots cast during a vote by <br />board members and report the number of yes and no votes to the board president. Duties include keeping track of <br />those wishing to speak, amendments, motions and voting as well. <br />All procedure questions or problems that come up during a meeting, which might include maintaining order and ensuring <br />no dialogue takes place between board members. Ensuring visitors are privy to the procedures that apply to them. Deem <br />a board member out of order if he/she speaks when another individual has the floor. <br />20 <br />19E-34
