0 City of Santa Ana <br />3.4 CONTRACT ADMINISTRATION <br />The OCFA Fire Chief, or his designee, shall be the authorized representative in all matters pertaining <br />to the RFP process. The contract awarded pursuant to this RFP for the provision of 9-1 -l Emergency <br />Transportation Service to the City of Santa Ana shall be administered by the OCFA Fire Chief, or his <br />designee. <br />3.5 CONTRACT EFFECTIVE DATE <br />The effective date of the contract awarded pursuant this RFP shall be TBD, ("Effective Date") at <br />which time Contractor will assume full responsibility for the provision of 9-1-1 Emergency <br />Transportation Service within the City of Santa Ana, as outlined in this RFP. The Effective Date may <br />be postponed at the sole discretion of the OCFA Fire Chief or designee in order to protect public <br />health and safety or in the event a successful Proposer/Contractor is for any reason unable to <br />commence performance at that time. <br />3.6 CONTRACT TERM <br />3.6.1 Term <br />The exclusive contract awarded pursuant to this RFP are for an initial three (3) year term, <br />ending at TBD. The contract shall automatically expire at the end of the initial three year term, <br />unless extended as provided below. <br />3.6.2 Contract Extension <br />Upon the mutual written agreement of the parties, the contract may be extended for up to two <br />(2) additional one (1) year periods (for a possible total of 5 years). Successful past performance <br />during the initial contract period will be a critical factor in the decision to grant an extension. <br />The decision to either grant or deny a contract extension(s) shall be final. The decision to grant <br />an extension shall be made by the City of Santa Ana and OCFA. At the end of the initial <br />contract term, or if extended at the end of the extended term, the Contract awarded pursuant to <br />this RFP shall automatically terminate. <br />3.6.3 Termination. <br />Once the Agreement is executed, it may be terminated as follows: <br />Phase 2 RFP: Emergency Ambulance Transportation and Related Services Page 1 19 <br />June 14, 2012 <br />25F-38
