0 City of Santa Ana <br />SECTION 3 <br />GENERAL TERMS AND CONDITIONS <br />3.1 PROPOSED CONTRACT <br />The proposed Contract is attached to this RFP as Attachment No. 1. Please review the terms of the <br />proposed Contract carefully (the "Contract" or the "Agreement"). Where there is a discrepancy in the <br />terms of this RFP and the terms of the Contract, the terms of the Contract shall prevail. <br />3.2 CONTRACT DOCUMENTS <br />The Contract entered into by the successful Proposer shall consist of the: <br />3.2.1 Executed Contract between the City of Santa Ana/OCFA and Contractor attached as Attachment <br />No. 1 to this RFP. <br />3.2.2 RFP <br />3.2.3 Signed, original bid proposal(s) submitted by the successful Proposer ("Bid Proposal") <br />The Executed Contract, the RFP, and the Bid Proposal(s), submitted by the successful Proposer will <br />be incorporated and made a part of the Contract and shall be hereinafter collectively referred to as the <br />"Contract Documents." All provisions of the RFP, the Bid Proposal(s), and the contract shall be <br />binding on the parties. Should any inconsistency or ambiguity occur or exist in the Contract <br />Documents, the provisions of the Contract, then the provisions of the Proposal, then the provisions of <br />the RFP shall control. <br />For purposes of this section the successful Proposer shall be referred to as the "Contractor." <br />3.3 CONTRACT MODIFICATION AND AMENDMENTS <br />Once a Contract has been awarded and executed, the parties may adjust the specific terms of the <br />Contract Documents from time to time where circumstances beyond the control of either party require <br />modification or amendment. Any modification or amendment proposed by the Contractor must be <br />submitted in writing to the City of Santa Ana, OCFA, and OCEMS for consideration. The decision to <br />modify or amend any term or condition of the Contract Documents shall be at the sole discretion of <br />the City of Santa Ana and OCFA and will require concurrence from OCEMS.
