a?t <br />FIRST AMENDMENT TO AGREEMENT <br />THIS FIRST AMENDMENT TO AGREEMENT is entered into on =5,P?1 <br />2012 by and between PACIFIC SERVICES, INC. ("Vendor") and the City of Santa Ana, <br />a charter city and municipal corporation organized and existing under the Constitution <br />and laws of the State of California (hereinafter "City"). <br />RECITALS: <br />A. The parties entered into Agreement # A-2011-256, dated November 21, 2011, <br />(hereinafter "said Agreement") by which Vendor has provided City with a point-to- <br />point high capacity wireless system and services. <br />B. In accordance with the terms and conditions of said Agreement, the parties wish to amend <br />the scope to provide for additional services and increase compensation to pay for such <br />services. <br />WHEREFORE, in consideration of the covenants contained in said Agreement, and subject <br />to all the terms and conditions of said Agreement, except those amended in this First <br />Amendment to Agreement, the parties agree as follows: <br />1. Section 2, SCOPE OF SERVICES, shall be amended by amending Exhibit A to include <br />those services and deliverables as set forth in Exhibit A-1, attached hereto and incorporated by <br />this reference. <br />2. Section 3. COMPENSATION, shall be amended to shall be amended to increase <br />compensation by an amount not to exceed $17,000.00 to pay for the additional services and <br />deliverables provided during the term of said Agreement. <br />IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to <br />Agreement on the date and year first written above. <br />ATTEST: <br />MARIA D.
