CITY agrees that any cost overruns shall be the responsibility of the CITY. <br />H. CITY agrees that any cost savings in construction will be divided proportionally <br />between FTA Section 5307 and local funding based on proportional funding for construction phase <br />in accordance with Exhibit A. <br />1. CITY is responsible for completing PROJECT as specified in Exhibit A, timely use of <br />funds requirements, and to abide by all TE Call for Projects guidelines, FTA Section 5307 <br />guidelines, Exhibit F and any and all other applicable federal, state or local requirements or laws. <br />CITY shall comply with the sub-recipient monitoring process performed by the Authority and/or the <br />AUTHORITY's designee. <br />J. CITY is required to maintain and provide to the AUTHORITY: <br />a. An annual FTA Compliance Self-Certification; <br />b. Notification to beneficiaries of protection under Title VI; <br />c. Title VI complaint procedure; <br />d. Meaningful access to limited-English persons (LEP), low-income and minority <br />persons. <br />K. CITY agrees to comply with all Federal Transit Administration third party procurement <br />and contracting laws and regulations and to include required federal clauses in all third party <br />contracts, as per Exhibit F. <br />L. CITY agrees to provide to AUTHORITY a thirty (30) days written notice, should CITY <br />decide to cancel or terminate the project for which it is seeking funding under this Agreement. <br />ARTICLE 5. REQUEST FOR REIMBURSEMENT <br />A. CITY shall contribute at least 25% required local contribution of matching funds (other <br />than Federal Funds), if any is specified within this Agreement or any attachments hereto, toward the <br />actual costs of PROJECT. <br />B. Not more frequently than quarterly, CITY shall prepare and submit to AUTHORITY an <br />invoice as specified in Exhibit C, titled "Invoice," and supporting documentation as specified in <br />Page 6 of 12 <br />L Camm\CLERICAL\CLERICAL\WO RD PROC\AG R E E\AG21640.doc <br />25B-8
