CONTRACTOR agrees to provide ADMINISTRATOR with <br />a copy of its organization-wide audit for the period July 1, <br />2013, through June 30, 2014, by August 30, 2014. CONTRACTOR <br />further agrees to provide ADMINISTRATOR with copies of its <br />organization-wide audits for the period July 1, 2014, through <br />June 30, 2015, by August 30, 2015. Failure to provide a copy of <br />the organization-wide audits, for the period July 1, 2013, <br />through June 30, 2015, shall be sufficient cause for <br />ADMINISTRATOR, in its sole discretion, to deny payment under this <br />or any subsequent Agreement with CONTRACTOR until such time as <br />the required audits are provided to ADMINISTRATOR. ADMINISTRATOR <br />may, in its sole discretion, modify the date upon which the <br />organization-wide audits must be received, upon notice to <br />CONTRACTOR. <br />27. RECORDS, INSPECTIONS AND AUDITS <br />27.1 Financial Records: <br />27. 1. 1 CONTRACTOR shall prepare and maintain accurate <br />and complete financial records. Financial records shall be <br />retained, by CONTRACTOR, for a minimum of five (5) years from the <br />date of final payment under this Agreement or until all pending <br />COUNTY, State and Federal audits are completed, whichever is <br />later. <br />27.1.2 CONTRACTOR shall establish and maintain <br />reasonable accounting, internal control and financial reporting <br />standards in conformity with generally accepted accounting <br />principles established by the American Institute of Certified <br />Public Accountants and to the satisfaction of ADMINISTRATOR. <br />27.2 Participant Records: <br />(WAM0313) <br />32 of 48 <br />(April 8, 2013) <br />25B-34
