rate of 14 per year. Proposer to provide percent of net revenue (advertising revenue <br />less maintenance cost) to be paid to the City as an Exclusive Agreement Fee, the <br />projected net revenue, and the annual dollar amount this percentage represents <br />(Exhibit B). Contractor is to maximize advertising opportunities and revenue. Should <br />the City choose to add additional bus shelters at its own cost including installation by <br />others, Proposer will apply the same calculation to these shelters and include in the <br />annual Exclusive Agreement Fee. (Should the Proposer determine that providing <br />new shelters is not financially supportable, a statement to this effect will be <br />considered responsive.) <br />Bus Shelter and Bus Bench Installation <br />Prior to commencement of construction, the Contractor shall obtain the written <br />approval of all plans and specifications for the bus shelter improvements to be <br />constructed. No modification of said plans, specifications, or improvements shall be <br />made by the Contractor without approval thereof by the City. Contractor agrees that <br />the City may have an inspector on site at any time during the construction. The <br />Contractor shall construct, perform, complete, and maintain all construction and <br />installations covered by the Agreement in a good and workmanlike manner and with <br />high quality materials, and shall furnish all tools, equipment, labor, and material <br />necessary to perform and to complete the same. Upon completion of the <br />improvements, Contractor shall furnish the City with one (1) complete set of as-built <br />construction drawings with a maximum size not to exceed 24" x 36" in ink on Mylar. <br />Upon review by and consultation with the City Attorney, the Contractor shall provide <br />such insurance coverage as the City reasonably deems necessary for the <br />contemplated installation. <br />II. CONTRACTOR RESPONSIBILITIES <br />A. ELECTRICAL SERVICE <br />The Contractor shall apply for and obtain at its own cost any necessary electrical service <br />permits from the Southern California Edison Company. Metered electrical charges shall <br />be at the Contractor's sole expense. Solar powered electrical lighting systems are not to <br />be used. <br />B. ADVERTISING <br />The City reserves the right to require the Contractor to transmit to the City color copies <br />of any or all advertisements proposed to be placed in the shelters for review prior to the <br />ads being placed. Should the City, at its sole discretion, determine any advertising on <br />any shelter to contain harmful and offensive matter or constitutes a display that is likely <br />to interfere with, mislead, or distract traffic, or conflict with any traffic control system, the <br />Contractor shall remove all such advertising within twenty-four (24) hours after the City <br />serves a written notice upon the Contractor to remove such advertising. <br />C.
