1 <br />2 <br />3 <br />4 <br />5 <br />6 <br />7 <br />8 <br />9 <br />10 <br />11 <br />12 <br />13 <br />14 <br />15 <br />16 <br />17 <br />18 <br />19 <br />20 <br />21 <br />22 <br />23 <br />24 <br />25 <br />26 <br />27 <br />28 <br />In such event ADMINISTRATOR may, in its sole discretion, and in addition to <br />immediate termination and any other remedies available at law, in equity, or <br />otherwise specified in this Agreement: <br />19.1 Afford CONTRACTOR a time period within which to cure the breach, <br />which period shall be established at the sole discretion of ADMINISTRATOR; <br />and/or <br />19.2 Discontinue reimbursement to CONTRACTOR for and during the period <br />in which CONTRACTOR is in breach, which reimbursement shall not be entitled to <br />later recovery: and/or <br />19.3 Offset against any monies billed by CONTRACTOR but yet unpaid by <br />COUNTY those monies disallowed pursuant to Subparagraph 19.2 above. <br />ADMINISTRATOR will give CONTRACTOR written notice of any action <br />pursuant to this paragraph, which notice shall be deemed served on the date of <br />mailing. <br />20. PAYMENTS <br />20.1 Maximum Contractual Obligation: <br />The total maximum obligation of COUNTY under this Agreement shall <br />not exceed the amount of $1,600,000; the amount of $800,000 for July 1, 2013 <br />through June 30, 2014 and the amount of $800,000 for July 1, 2014 through June <br />30, 2015, or actual allowable costs, whichever is less. <br />20.2 Allowable Costs: <br />During the term of this Agreement, COUNTY shall pay CONTRACTOR <br />monthly in arrears, for actual allowable costs incurred and paid by CONTRACTOR <br />pursuant to this Agreement, as defined in OMB Circular A-87 or as approved by <br />ADMINISTRATOR. However, COUNTY, in its sole discretion, may pay CONTRACTOR <br />for anticipated allowable costs that will be incurred by CONTRACTOR for June <br />2014 and June 2015, during the month of such anticipated expenditure. <br />(WAM0313) <br />22 of 40 <br />(April 8, 2013)
