N-2014-016 CITY OF SANTA ANA PROFESSIONAL SERVICES AGREEMENT This Agreement is made and entered into this —4�4 day of February, 2014, by and between the City of Santa Ana, a charter city and municipal corporation of the State of California ("City"), and David E. Richert, an individual ("Consultant"). City and Consultant are sometimes individually referred to herein as "Party" and collectively as "Parties" in this Agreement. RECITALS A. Consultant desires to perform and assume responsibility for the provision of certain professional services required by the City on the terms and conditions set forth in this Agreement. B. Consultant represents that he is experienced in providing urban planning services to public clients, is allowed to operate in the State of California, and is familiar with the plans of the City. C. Consultant agrees that he is satisfied by his own investigation and research regarding the conditions affecting the work to be done and labor and materials needed, and that his decision to execute this Agreement is based on such independent investigation and research. D. In undertaking the performance of this Agreement, Consultant represents that he is knowledgeable in his field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consultant in the field. E. City desires to engage Consultant to render such services for the General Plan Update project ("Project") as set forth in this Agreement. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. Scope of Services and Term. 1.1 General Scope of Services. Consultant promises and agrees to fiirnish to the City all labor, materials, tools, equipment, services, and incidental and customary work necessary to fully and adequately supply the professional urban planning consulting services necessary for planning the process of completing the Project ("Services"). All Services shall be subject to, and performed in accordance with, this Agreement, and all applicable local, state and federal laws, rules and regulations.
