pay the non - breaching party liquidated damages in an amount equal to 100% of the total salary <br />or compensation paid by the non - breaching party to such current or former employee or full -time <br />consultant in the last twelve months of his or her employment or consulting work. The parties <br />further agree that money damages may not be an adequate remedy for a breach by a party of this <br />Section and, therefore, in addition to any other legal or equitable remedies available to it, the <br />non - breaching party will be entitled to obtain an injunction against such hiring and employment. <br />F. Limited Warranty on Services <br />Laserfiche warrants the following with respect to Services performed: <br />(1) Compliance with Specifications. Laserfiche's Services will substantially <br />conform to the descriptions of the Services (including performance capabilities, <br />completeness, specifications, configurations, and function) set forth in any SOW. <br />(2) Laserfiche Professionals. All Services provided by Laserfiche will be <br />performed in a professional manner by qualified personnel. Laserfiche personnel will <br />observe and comply with Licensee's security procedures, rules, regulations, policies, <br />working hours and holiday schedules. In performing services at Licensee locations, <br />Laserfiche personnel will use their best efforts to minimize any disruption to Licensee's <br />normal business operations <br />(3) Compliance with Specifications after Acceptance. For a period of 30 days <br />after Acceptance of any Services, any custom software programs developed under this <br />Agreement will operate substantially in conformance with the specifications for such <br />software. <br />(4) Non - Infringement of Third Party Rights. The Services will not violate or <br />infringe upon the intellectual property rights of third parties, including their trade secrets, <br />proprietary information, or trademark, copyright or patent rights. <br />(5) Limitations. Laserfiche's liability for breach of any of the above <br />warranties or for any damages resulting from a breach of warranty will be strictly limited <br />as set forth in Section 11 below ( "LIMITATION OF LIABILITY AND DAMAGES"), <br />5. Installation and Training. <br />A. Licensee will take the "ownership" role for installing the Laserfiche Software in <br />the locations described in Schedule B of this Agreement. <br />B. Laserfiche will provide training to Licensee personnel as described in Schedule E <br />of this Agreement. <br />C. Licensee personnel may attend scheduled training sessions at Laserfiche's offices <br />in Long Beach, California, at Laserfiche's published charges. All Licensee personnel who attend <br />training sessions will be responsible for any travel, food, lodging or other out -of- pocket business <br />expenses incurred in attending the training session. <br />Laserfiche Enterprise Software License and <br />Professional Services Agreement <br />25E -10 <br />Page 8 <br />
