6. Laserfiche Software Assurance Plan (LSAP). <br />A. Laserfiche will provide Licensee the Laserfiche Software Assurance Plan (LSAP) <br />as described in Schedule F, Laserfiche Software Assurance Plan, attached to this Agreement. <br />B. LSAP support services will commence beginning with the Delivery of Software <br />for installation at Licensee's locations. The parties recognize that the rollout of the Laserfiche <br />Software for Licensee may present unique issues. Therefore, upon Licensee's request, <br />Laserfiche will use its reasonable best efforts to expedite its responses to Licensee's requests for <br />assistance to facilitate Licensee's Acceptance of the Laserfiche Software. <br />C. The LSAP fees charged for additional Software Licenses purchased under the <br />Purchase Option term of this Agreement (section 3.13) or beyond for the same Laserfiche <br />Software Component License(s) Licensee already owns at that time (e.g.: to increase quantity) <br />will be at the same rate(s) Licensee is already paying for said Software Component License(s) <br />LSAP during that LSAP maintenance year. This will provide consistent rates on LSAP invoices <br />for Software Licenses purchased at different times. <br />The LSAP fees charged for additional Software Licenses purchased under the Purchase <br />Option tern of this Agreement (section 3.13) in which Licensee does not already own said <br />Software Component License(s) will be at the rate(s) specified in the Laserfiche Price Schedule <br />listed in Schedule A for that LSAP maintenance year. <br />7. Grant of License. <br />Description. Laserfiche grants Licensee a limited, irrevocable, non - exclusive, non- <br />transferable license to use the Laserfiche Software described on Schedule A, subject to the terms <br />and conditions of this Agreement and the License File which accompanies the Laserfiche <br />Software. The Laserfiche Software may include, without limitation express or implied, some or <br />all of the following types of software: (a) "Server Software" that provides document management <br />services to other programs, and "Client Software" that allows a computer or workstation to <br />access or utilize the services provided by the Server Software; (b) "Stand -alone Software" that <br />operates on a single computer; and (c) "Plug -in Software Modules" that can be added to the <br />previously mentioned Software packages. If a separate, express license applies to particular <br />Laserfiche Software, such as terms that accompany a software development kit, "demonstration" <br />software provided only for demonstration, testing and feedback purposes or software designated <br />for "application service provider" purposes, those terms apply. Otherwise, this Agreement <br />applies to the Laserfiche Software that is described in Schedule A and one or more License Files, <br />which constitute plain text and machine readable code generated by Laserfiche, reside on the <br />server or computer folders containing the Laserfiche Software, and are installed as part of the <br />processing of downloading the Laserfiche Software. Laserfiche grants Licensee a limited, non- <br />exclusive, non - transferable license to use the Laserfiche Software subject to the terms and <br />conditions of this Agreement and the License Files which accompany the Laserfiche Software. <br />A. Limitations and Requirements. <br />(1) The License Files constitute part of this Agreement. The License Files <br />define the scope and limitations of the Software.
