EXHIBIT A <br />SCOPE OF SERVICES <br />2014 Film Fiesta <br />Producer shall serve as Director for the 2014 Film Festival in Santa Ana, curate and <br />secure a series of films, negotiate and book screening venues, create/distribute all promotional <br />materials, manage collaborations with other organizations, contract and manage festival staff, <br />direct all public relations and outreach efforts and visually document all Film Festival events for <br />promotional use. Producer shall be responsible for covering all costs necessary to produce the <br />Film Festival. All services and products must be approved and implemented to the full <br />satisfaction of the City through its Parks, Recreation, and Community Agency (PRCSA). <br />Producer shall perform those services as set forth herein (Producer's Proposal of Services <br />Exhibit "A") attached to the Service Agreement and incorporated by reference. In the event of a <br />conflict between the terms of this Agreement and any Exhibits or Attachments hereto, the terms <br />of this Agreement shall prevail. <br />A. Financial Operations and Management <br />1) Producer will be responsible for the payment of all costs associated with the <br />Scope of Services; including the cost of city and non -city services, performers, <br />all equipment and support personnel, security, set up, clean up, sponsorship <br />aclrnowledgement, insurance, taxes, fees and any other costs involved in <br />undertaking the film festival. <br />2) Develop a final budget and work plan for the Film Festival including all <br />planning, promotional, set up, operational and wind-up costs and submit to <br />PRCSA 30 days prior to the first screening for final approval. As changes <br />occur, submit such changes to PRCSA for approval. <br />3) Provide cash flow financing for event costs. <br />4) Procure and pay for all goods and services associated with the Film Festival. <br />5) Obtain appropriate event insurance coverage. <br />B. Logistics <br />1) Ensure that all aspects of the Film Festival are well -coordinated and attended to <br />prior to, during and immediately following the event, taking into consideration <br />the dynamics and needs of the downtown merchants and residents. <br />2) Ensure that all screening representatives and talent are invited in advance and <br />attend the appropriate screenings and necessary accommodations are provided. <br />3) Provide a quality experience for event visitors with minimal disruption and <br />inconvenience to the merchants and residents within the event boundaries. <br />4) Take into consideration the needs of the downtown merchants and residents in <br />the logistics planning in order to prevent problems with vendor/merchant <br />competition and disruption of business, address the needs of downtown <br />merchants in terms of booth placement, and prevent late night noise and other <br />disturbances and disruption for downtown residents. <br />5) Provide directional maps to PRCSA of areas where screenings will be taking <br />place two weeks prior to the start of the first screening. <br />
