NON EXCLUSIVITY: Nothing herein is intended nor shall be construed as creating <br />any exclusive Agreement by and between HOC and VCN Partner. This Agreement shall not restrict <br />HOC from acquiring similar, equal, or like goods and/or services from other entities or sources. <br />12. CONFIDENTIALITY. In the course of performing the services in this Agreement, <br />the parties recognize that they may come in contact or become familiar with information that HOC, or <br />VCN Partner, or their subsidiaries or affiliates may consider confidential. This information includes, <br />but is not limited to, contracts, invoices, partnerships, strategy, counselee/customer information, <br />proprietary information and processes, and intellectual property. The parties agree to keep all such <br />information confidential and not to discuss or divulge the information to anyone during the period and <br />after the tennination of this Agreement. <br />13. EFFECTIVE DATE. The terms of this Agreement will become effective on the date <br />and year first referenced above. <br />14. MODIFICATION. This Agreement may be modified upon the mutual written <br />consent of the parties. <br />15. TERMINATION. HOC and VCN Partner, mutually agree that either party at its sole <br />discretion, may with a 30 -day written notice to the other party, terminate this Agreement. Within ten <br />days of the date of termination of this Agreement, VCN Partner shall return all hardware, software <br />and VCN materials including training materials and manuals provided by HOC to VCN Partner. <br />
