(MMI) MASTER SOFTWARE LICENSE AND SERVICES AGREEMENT <br />"AGREEMENT" <br />LICENSE PERIOD, PRICING AND OTHER (LPPO) CLIENT SPECIFIC TERMS <br />Unless otherwise defined herein, all capitalized terms in this Exhibit A shall have the same meaning given to <br />them in the Agreement. <br />1) CLIENT NAME AND PRIMARY ADMINISTRATIVE USER. <br />Name: Santa Ana Police Department <br />Address: 60 Civic Center Plaza, Santa Ana, CA 92701 <br />Email: PSemelsberger@santa-ana.org <br />2) ADD ON SERVICES. <br />Admin: Commander Pete Semelsberger <br />Phone: (714)245-8051 <br />2.1 Two Factor Authentication. If Client has requested the two -factor authentication service for its Authorized <br />User accounts on the System, Client will be billed additionally for the service. Client acknowledges and agrees it will <br />be charged a onetime setup/activation fee of $500.00. Applicants will have the option to enable Two Factor <br />Authentication on their account upon their login, regardless and at no charge to the Client. The setup fee is charged <br />only when a Client activates Two Factor Authentication for their Authorized users. Upon receipt of full payment of the Set -Up Fee, MMI will begin the set-up process of Client <br />on the eSOPH System in accordance with the terms of the Agreement. <br />3.1.1 If Client requests the setup date and time be changed from what was originally stated by Client, <br />Client is responsible for reimbursing MMI for all costs MMI incurs in making the travel arrangement adjustments. <br />Additionally, Client will also be responsible for paying a $200.00 travel arrangement change fee to MMI. MMI will <br />provide records showing the costs MMI incurred, at Client's request. <br />3.2 Additional Training. After the initial training (up to two days/16 hours) has been completed, additional <br />training requested by Client will be billed to Client at a rate of $200.00 USD per hour. It's agreed additional onsite <br />training will be billed at a minimum of 8 hours, plus all costs. Requests must be received by MMI in writing from the <br />User listed above in Section 1, his or her successor, or higher supervisor. MMI reserves the right to charge $200.00 <br />USD per hour for all off-site/remote training, with a minimum of one (1) hour billed. <br />3.3 Corrective Services. MMI reserves the right to Invoice Client $200.00 USD per hour for any corrective <br />services Client requests. Corrective Services are typically services needed by Client from MMI to correct a mistake <br />made by Client's Authorized Users, which cannot be corrected by Client through the User Interface.
