designation of the Treasurer, the quorum and voting requirements, <br />and the time of regular meetings. <br />WHEREFORE, in consideration of the foregoing, the parties <br />hereto do hereby agree that the Joint Powers Agreement as amended <br />by the First Amendment is further amended as follows: <br />1. Paragraph (1) of subsection C of section 2 is amended by <br />deleting the figure 114:30 p.m." wherever it appears and inserting <br />in place thereof the figure 114:00 p.m." <br />2. Paragraph (4) of subsection C of section 2 is amended to <br />read as follows: <br />" (4) Quorum and Vote Requirements <br />Three (3) voting members shall be required to be present <br />at the meeting to conduct any business or take any action. <br />Each city shall use best efforts and exercise good faith to <br />send two (2) voting members to every meeting. Less than a <br />quorum may adjourn from time to time. No motion shall be <br />deemed carried unless it receives the affirmative vote of a <br />least three (3) voting members." <br />3. Paragraph (5) of subsection D of section 2 is amended to <br />read as follows: <br />" (5) Treasurer <br />The Treasurer of the Authority shall be the chief <br />financial officer of the host city. The Treasurer shall be <br />the depository and have custody of all the money of the <br />Authority, from whatever source. The Treasurer shall also be <br />the auditor - controller of the Authority. <br />►a <br />
