Project Costs -- those actual costs as estimated and referenced in Exhibit C1 and <br />Exhibit C3 covering all costs associated with the Project. <br />Project Farad - a separate account established by SANTA ANA and maintained <br />consistent with all applicable SANTA ANA or other governmental laws, rulcs and <br />regulations pertaining thereto, wherein SANTA ANA shall deposit amounts paid by the <br />......--- -- - _ ---— Parties ----- <br />for Project Costs. <br />PS&E - Project plans, specifications, and engineering estimates agreeable to the Project <br />Representatives (as defined in Section 1) which have been approved through the <br />County Property Permit process. <br />Regional Board — the Santa Ana Regional Water Quality Control Board. <br />Regulations — those federal and state regulations or requirements applicable to point <br />source discharges, as more particularly described in Recital A, which are prescribed by <br />the Santa Ana Regional Water Quality Control Board, California State Water <br />Resources Control Board, and/or United States Environmental Protection Agency that <br />have jurisdiction within the Santa Ana -Delhi drainage system depicted on Exhibit A. <br />Reserve Fund - After exhaustion of the Initial O&M Deposit, monies deposited into <br />the O&M Funds which are designated for reserve fund purposes as specified in Section <br />3.7.9. to be used by OCFCD and/or COSTA MESA to repair or replace the Facilities, <br />Project -related Channel improvements and/or appurtenances, or portions thereof <br />damaged due to a catastrophic event <br />Resource Agency(ies) — each one of the following entities or collectively, all of them: <br />U.S. Army Corps of Engineers, U.S. Fish and Wildlife Service, Federal Emergency <br />Management Agency, California Department of Fish and Wildlife, Santa Ana Regional <br />Water Quality Control Board, and Coastal Commission. <br />Sponsor - OCFCD, the COUNTY, COSTA MESA, NEWPORT BEACH, or SANTA <br />ANA (collectively the "Sponsors") and which shall include IRWD in accordance with <br />Exhibit C2b. <br />Sponsorship Share - a Sponsor's share of participation in funding, credits and offsets <br />pursuant this Agreement and/or the Project, based upon the percentages denoted on <br />Exhibit C2a and C2b. <br />State Board — the California State Water Resources Control Board. <br />Santa Ana -Delhi Channel Diversion Project Agreement D15-013 Page 7 of 69 <br />
