JANITORIAL SERVICES AGREEMENT <br />THIS AGREEMENT, made and entered into this 151 day of October, 2017 by and <br />between Santa Fe Building Maintenance (hereinafter "Contractor"), and the City of Santa Ana, a <br />charter city and municipal corporation organized and existing under the Constitution and laws of <br />the State of California (hereinafter "City"). <br />RECTI'ALS <br />A. The City desires to retain a Contractor having special skill and knowledge in the field of <br />providing janitorial services to the Santa Ana Police Administration, Detention <br />Facilities, and surrounding grounds. <br />B. On February 14, 2017, the City issued RFP #17-022 for Janitorial Maintenance <br />Services for the Santa Ana Police Administration and Detention Facilities and <br />surrounding grounds. <br />C. On March 15, 2017 a total of five responses were received to RFP #17-022 and <br />Contractor ranked the highest. <br />D. Contractor represents that Contractor is able and willing to provide such services to the <br />City. <br />E. In undertaking the performance of this Agreement, Contractor represents that it is <br />knowledgeable in its field and that any services performed by Contractor under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />1. SCOPE OF SERVICES <br />Contractor shall provide janitorial services for the Santa Ana Police Administration and <br />Detention Facilities and surrounding grounds, as set forth in City's Janitorial Maintenance <br />Request for Proposals #17-022, dated February 14, 2017, on file with at the Santa Ana Police <br />Administration, of which section 1.0 through 9.0 are attached hereto as Exhibit A and <br />Contractor's Proposal, dated March 15, 2017, attached hereto as Exhibit B and all exhibits are <br />incorporated by reference. Also attached as Exhibit C is the Contractor's Salary and Benefits <br />proposal. <br />2. COMPENSATION <br />a. (1) City agrees to pay, and Contractor agrees to accept as total payment for its <br />services, the rates and charges identified in Exhibit B.
