3. TEWM <br />This Agreement shall commence on the date first written above tirst written above and <br />continue for one year after the MCP 2017 Annual Conference and Exposition, unless terminated <br />earlier in accordance with Section 15, below. <br />4. INDEPENDENT CONTRACTOR <br />Contractor shall, during the entire term of this Agreement, be construed to be an <br />independent contractor and not an employee of the City. This Agreement is not intended nor shall <br />it be construed to create an employer-employee relationship, a joint venture relationship, or to <br />allow the City to exercise discretion or control over the professional manner in which Contractor <br />performs the services which are the subject matter of this Agreement; however, the services to be <br />provided by Contractor shall be provided in a manner consistent with all applicable standards and <br />regulations governing such services. Contractor shall pay all salaries and wages, employers social <br />security taxes, unemployment insurance and similar taxes relating to employees and shall be <br />responsible for all applicable withholding taxes. <br />5. USE OF FILMED MATERIALS <br />Production of the film will be scheduled with the City to conium the date filming will <br />occur, the potential interviewees, location(s), case study materials and the details and <br />message for die film. The filming will occur over one (1) day selected by the City, <br />WebsEdge will provide a fust edit for the City and work with the City on any changes <br />until the City signs off on the final proof of the film. The final City approved version <br />of the film, and any raw/unedited footage, will be provided back to the City on an <br />electronic hard drive. <br />b. The film will be broadcast as part of the events for the IACP 2017 Annual Conference <br />and Exposition. The film will be broadcast in multiple formats including: In news <br />programs for the Conference; to attendees of the Conference on television screens; vin <br />dedicated television channels to selected delegate's hotels; streaming via the <br />Contractors online site for up to 12 months after the event anal available via the <br />Contractor's social media for the Conference; and copies of the film will be provided <br />upon request to delegates. <br />c. This Agreement grants an indefinite royalty free license for the City to use the final <br />edited film and all materials, including raw/unedited video footage for any purpose. <br />Contractor shall be responsible for gathering and maintaining all releases required for <br />filming. Any use of the film, or its unused material that is used to produce the final <br />film, by the Contractor, that is not provided or described within Exhibits A and B, shall <br />be subject to written permission by Contractor to use, broadcast or otherwise promote <br />the Contractor's business in any form of media known or unknown in the future. City <br />shall require such written permission to prevent use of the filmed material in any <br />manner outside of the purpose for which this filming was originally intended. <br />
