<br />~~~. <br />. .' /' <br />'-"'/'" <br /> <br />OR"IGINAL <br /> <br />-1-t"Ý-O/jPi <br />v <br />(.4- -N-O7J) <br /> <br />THIRD AMENDMENT TO FRANCHISE <br />AGREEMENT FOR CABLE TELEVISION <br />SYSTEM <br /> <br />EJC:mb(35) <br />12/21/88 <br />Rev. 3/06/89 <br />INSURANCE NOT REQUIRED <br />WORK MAY PROCEED <br />CLERK OF COUNCIL <br />DATE: glr7¿4:k~ <br /> <br />THIS AGREEMENT, made and entered into as of the ~ <br /> <br />day of /J14.A..LAI1 , <br /> <br />, 1989, by and between the City of <br /> <br />Santa Ana, a municipal corporation of the State of California <br /> <br />(hereinafter referred to as "Ci ty" or "Grantor"), and COMCAST <br /> <br />Cablevision of Santa Ana, Inc., (hereinafter referred to as <br /> <br />"COMCAST" or "Grantee"), <br /> <br />W-I-T-N-E-S-S-E-T-H <br /> <br />Recitals: <br /> <br />A. <br /> <br />Grantor and Group W Cable, Inc., previously entered <br /> <br />into that certain franchise agreement for the operation of a~ <br /> <br />cable television system on June 21, 1982, as amended on <br /> <br />February 7, 1983 and December 28, 1984, hereinafter collectively <br /> <br />referred to as "said agreement." <br /> <br />B. <br /> <br />COMCAST has purchased all rights, title and interest <br /> <br />of Group W Cable, Inc. to said agreement. <br /> <br />C. <br /> <br />Grantor and COMCAST now desire to amend further said <br /> <br />agreement in settlement of all disputes between the parties <br /> <br />regarding the franchise agreement. <br /> <br />WHEREFORE, in consideration of the respective and <br /> <br />mutual covenants hereinafter contained and made, and subject to <br /> <br />all the terms and conditions hereof, the parties hereto do hereby <br /> <br />-1- <br />
