Attachment A - Joint Agreement for 800 MHz CCCS Page 20 of 83 <br />BYLAWS <br />800 MHz GOVERNANCE COMMITTEE <br />Page 2 <br />Section 5. The Governance Committee shall operate strictly within its designated purpose. <br />Article 4. Membership and Term of Office <br />Section 1. Appointment. The Committee shall be comprised of nine (9) members, as identified <br />below, and will also be responsible for coordinating with their appropriate <br />associations/agencies on issues involving the appropriate Governing Authorities <br />approvals: <br />• Four City Managers appointed by the Orange County City Managers' <br />Association <br />• County Executive Officer, County of Orange, or Designee <br />• Sheriff -Coroner, or Designee <br />• Orange County Public Works Resources and Development Management <br />Department Director, or Designee <br />• Orange County Chief of Police & Sheriffs Association (OCCOPSA) <br />Executive Director, or Designee <br />• Orange County Fire Chiefs Association (OCFCA) Fire Chief or Designee <br />Each member must designate and name an alternate as a voting member if member <br />cannot attend. <br />Section 2. Terms. Committee members shall be appointed for a two (2) year term. Members <br />may serve for multiple additional two (2) year terms upon reappointment to each <br />new term in accordance with Article 4, Section 1 above. <br />Section 3. Removal. The Governance Committee, by majority vote, may remove members of <br />the Committee any time without cause. In addition, if a committee member misses <br />three (3) consecutive Governance Committee meetings (whether regular or special <br />meetings), said Governance Committee member will be deemed automatically <br />removed without further Governance Committee action. <br />Section 4. Vacancies. A vacancy on the Governance Committee shall be filled by majority <br />vote of the Governance Committee in accordance with Article 4, Section 1 above. <br />Such vacancy should, if possible, be filled within 30 days of vacancy. <br />Article S. Meetings <br />Section 1. Regular meetings shall be held on a quarterly basis. Governance Committee <br />meetings shall be fixed on the first month of each quarter (January, April, July, and <br />
