Attachment A - Joint Agreement for 800 MHz CCCS Page 21 of 83 <br />BYLAWS <br />800 MHz GOVERNANCE COMMITTEE <br />Page 3 <br />October) on the fourth Wednesday at 1:30 PM unless a majority of the Committee <br />members determine that an alternate fixed meeting day and time within the <br />designated months is required to maximize member attendance. At least 72-hours <br />prior to a regular meeting, an agenda shall be posted that contains a brief general <br />description of each item to be covered in the meeting. <br />Section 2. Special meetings may be held on 24-hour public notice, including a binding agenda <br />with brief general description of items to be covered at the meeting. Any special <br />meeting notice must be publicly posted in accordance with all applicable laws and <br />must be received by Committee members at least 24 hours in advance (Government <br />Code Section 54956). <br />Section 3 A majority five (5) of the members shall constitute a quorum to conduct business. <br />Section 4. Only Governance Committee members may vote on items on the Agenda and each <br />member may have only one vote. <br />Section 5. Governance Committee meetings may be rescheduled or canceled in accordance <br />with the Brown Act. Orange County Sheriff Technology staff shall act as the Clerk <br />of the Board for meeting rescheduling purposes. <br />Article 6. Officers <br />Section 1. The officers shall consist of a Chairperson and Vice Chairperson. The elected <br />Chairperson shall conduct the meetings. <br />Section 2. The elected Vice Chairperson shall conduct regular Governance Committee <br />meetings in the absence of the Chairperson; and do everything necessary to assist <br />the Chairperson in related duties. In the event that both the Chairperson and the <br />Vice Chairperson are absent from the same committee meeting, the remaining <br />Governance Committee members present may appoint one of them to be the <br />Chairperson for that meeting. <br />Section 3. Elections for Chairperson and Vice Chairperson shall be conducted by the full <br />Governance Committee and shall occur in April of each year. The Chairperson <br />shall call for nominations from the Governance Committee members and the <br />Chairperson will initiate a vote. A majority vote of the Committee members present <br />is required for each candidate to be elected as Chairperson and Vice Chairperson. <br />Article 7. Staffing <br />Section 1. Orange County Sheriff Technology staff secretary will provide secretarial support <br />to the Governance Committee.
