CONTRACTOR shall comply with any audits <br />specified in Paragraph 24, provide reports and any ~ther information required <br /> <br />by COUNTY in the administration of this Agreement, and as otherwise permitted <br />by law. <br /> <br /> 27.2 CONTRACTOR shall inform all of its employees, agents, <br />subcontractors, volunteers and partners of this provision and that any person <br />knowingly and intentionally violating the provisions of said State law may be <br />guilty of a crime. <br /> <br /> 27.3 CONTRACTOR agrees that any and all subcontracts entered into shall <br />be subject to the confidentiality requirements of this Agreement. <br /> <br />28. COPYRIGHT ACCESS <br /> <br /> The Department of Health and Human Services, the California Department <br /> <br />of Social Services, and COUNTY shall have a royalty-free, nonexclusive and <br />irrevocable license to publish, translate, or use, now and hereafter, all <br /> <br />material developed under this Agreement including those covered by copyright. <br /> <br />29. WAIVER <br /> <br /> No delay or omission by either party hereto to exercise any right or <br /> <br />power accruing upon any noncompliance or default by the other party with <br />respect to any of the terms of this Agreement shall impair any such right or <br />power or be construed to be a waiver thereof. A waiver by either of the <br />parties hereto of any of the covenants, conditions, or agreements to be <br />performed by the other shall not be construed to be a waiver of any succeeding <br />breach thereof or of any other covenant, condition or agreement herein <br />contained. <br /> <br />(WSH0403) 32 of 37 <br /> <br /> <br />
