<br />" . <br /> <br />" <br /> <br />and this agreement, including're~erenced specifications, <br />franchise applications, and other related material. <br /> <br />1.17 "Gran tee" means Group W Cable, Inc., to whom a <br />franchise is granted for the construction, operation, main- <br />tenance, and reconstruction of a Cable Television System, <br />and the lawful successors, transferees, or assignees of said <br />corporation or entity. <br /> <br />1.18 Grantor" means the City of Santa Ana represented <br />by the City Council acting within the scope of its juris- <br />diction. <br /> <br />1.19 "Government Channel" means any channel where local <br />government agencles are the only designated programmers. <br /> <br />1.20 "Gross Annual Revenues" means the annual gross <br />revenues recelved by the Grantee from all sources of oper- <br />ation of the Cable Television System, except that any sales, <br />excise or other taxes, or other payments collected for direct <br />pass-through to local, state or federal government shall not <br />be included, nor shall a feed originating outside the City <br />and passing through the City destined for a location outside <br />the City be included, nor shall revenues arising from distribution <br />of programming produced in Santa Ana studios to areas outside <br />the City be included. <br /> <br />1.21 "Institutional Service" means such video, audio, <br />data and other services provided to institutional users on <br />an individual application, private channel basis. These may <br />include, but not be limited to, two-way video, audio or <br />digital signals among institutions, or from institutions to <br />residential subscribers. <br /> <br />1.21.1 "Interactive Service" means the capability of <br />providing two-way transmlssions. <br /> <br />1.22 "Leased Channel" or "Leased Access Channel" means <br />any channel avallable for lease and programmlng by persons <br />or entities other than the Grantee, including those portions <br />of the other access channels not in use by their designated <br />programmers. <br /> <br />1.23 "Local Origination Channel" means any channel <br />where the Grantee lS the only programmer, and provides video <br />programs to subscribers. <br /> <br />1.24 "Monitoring" means observing a one-way communica- <br />tions signal, or the absence of a signal, where the observer <br />is neither the subscriber nor the programmer, whether the <br />signal is observed by visual or electronic means, for any <br />purpose whatsoever. <br /> <br />-4- <br />
