<br />shall provide a written notice of such deficiency to <br /> <br />Grantee with a request that the deficiency be cured <br /> <br />within thirty (30) days of the date of the notice. <br /> <br />If <br /> <br />Grantor determines such deficiency is not cured at the <br /> <br />end of the time period, Grantor may in writing demand a <br /> <br />meeting between representatives of Grantor and Grantee <br /> <br />to be held within thirty (30) days of the date of the <br /> <br />written demand to discuss such deficiency. <br /> <br />In the event <br /> <br />the deficiency is not cured within fifteen (l5) days <br /> <br />after the date of the meeting, the parties agree to <br /> <br />submit the matter to the judicial Arbitration and Medi- <br /> <br />ation services, Inc., or its successor corporation, for <br /> <br />arbitration. <br /> <br />In the event the arbitrator stated herein <br /> <br />ceases to do business, the parties agree to submit to <br /> <br />arbitration before a mutually agreed upon retired Superior <br /> <br />Court judge. <br /> <br />The cost of arbitration shall be borne <br /> <br />equally by Grantor and Grantee. <br /> <br />If the arbitrator determines that a deficiency <br /> <br />exists, the arbitrator shall set a penalty for each day <br /> <br />from the date of original notice of deficiency in the amount <br /> <br />of Two Hundred Fifty Dollars ($250) per day until such date <br /> <br />the arbitrator determines the deficiency is cured. <br /> <br />The te rID <br /> <br />"deficiency" means a failure to maintain the performance <br /> <br />standards for video and audio transmissions set forth in <br /> <br />Exhibit 'D' that is affecting quality and is perceptible <br /> <br />to those utilizing the I-NET. <br /> <br />In the event Grantee fails to pay any penalty <br /> <br />-l3- <br />
