<br />of the City of Santa Ana hereby consents to the transfer of <br /> <br />the franchise from Group W Cable, Inc., to COMCAST. <br /> <br />e. <br /> <br />COMCAST and City agrees to dismiss with prejudice <br /> <br />the complaints listed in the first paragraph of this section. <br /> <br />f. <br /> <br />COM CAST and City agree that this compromise and <br /> <br />settlement shall constitute a bar to all past, present and <br /> <br />future claims arising out of the subject matter described in <br /> <br />the lawsuits hereinabove described, including, without limi- <br /> <br />tation, any claim that the City purportedly has for the fines <br /> <br />that it imposed against Group W Cable, Inc. and/or COMCAST <br /> <br />prior to the date of this Agreement. <br /> <br />Both parties hereby <br /> <br />covenant and agree not to sue the other party regarding any <br /> <br />term, condition or limitation of the franchise agreement <br /> <br />other than for any anticipated or actual breach of the fran- <br /> <br />chise agreement. <br /> <br />Nothing herein is to be deemed a waiver <br /> <br />of Grantee's constitutional rights. <br /> <br />g. <br /> <br />City represents and warrants, that as of the date <br /> <br />of this Third Amendment, it knows of no violations of the <br /> <br />Franchise Agreement by Grantee or its predecessors and that <br /> <br />Grantee and its predecessors are in full compliance with the <br /> <br />Franchise Agreement, as amended. <br /> <br />14. <br /> <br />Grantee recognizes the special needs of senior citizens <br /> <br />residing within the City of Santa Ana and will give serious con- <br /> <br />sideration to providing a senior citizen discount of at least <br /> <br />the first month of basic services free of charge and free <br /> <br />installation of cable service. <br /> <br />This provision shall not be <br /> <br />-l6- <br />
